SALARY DEFERRAL AGREEMENT

This Salary Deferral Agreement (Agreement) is entered into between Employer Name: and Employee Name: effective as of .

Recitals

WHEREAS, Employee is employed by Employer and is eligible to defer a portion of compensation pursuant to Employer's payroll policies and any applicable deferred compensation plan; and

WHEREAS, Employer and Employee desire to set forth the terms and conditions under which Employee will defer a portion of Employee's salary in accordance with this Agreement.

Payment of Deferred Compensation

Employee acknowledges that Employer makes no representation concerning the tax consequences of deferring compensation and that Employee is solely responsible for all taxes arising from deferral and distribution.

Employee understands that participation is subject to Employer's payroll processing timelines and administrative procedures. Employer reserves the right to deny or suspend deferral elections if required by law or Employer policy.

Amendment, Termination and Default

This Agreement may be amended or terminated by mutual written agreement of the parties or by Employer to the extent required to comply with applicable law or to preserve the tax treatment of deferred compensation. An event of default includes Employee's fraud, material breach, or other action that would create material liability for Employer; upon default Employer may accelerate payment or recover amounts as permitted by law.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses below.

Acknowledgements

Employee certifies that Employee has read and understands this Agreement, that Employee's election to defer compensation is voluntary, and that Employee has not relied upon any oral statements regarding tax consequences or other effects of this Agreement. Employee acknowledges responsibility for consulting with Employee's own tax and financial advisors as desired.

Miscellaneous

This Agreement constitutes the entire understanding between the parties with respect to the subject matter herein and supersedes prior deferral elections or agreements relating to the same subject matter, unless expressly provided otherwise in writing. This Agreement shall be governed by and construed in accordance with the laws of the state specified below.
