SALE AGREEMENT ADDENDUM

This Sale Agreement Addendum ("Addendum") is made effective as of by and between ("Seller") and ("Buyer"), and amends the Sale Agreement dated (the "Original Agreement").

WHEREAS

WHEREAS, the parties entered into the Original Agreement for the sale of the assets, goods, and/or property described in the Original Agreement; and

WHEREAS, the parties desire to modify certain terms of the Original Agreement as set forth in this Addendum, and except as expressly modified herein, the Original Agreement remains in full force and effect.

WHEREAS, capitalized terms used but not defined in this Addendum have the meanings given to them in the Original Agreement.

AMENDMENTS

1. Modification to Sale Description. The description of the property/goods to be sold under the Original Agreement is hereby amended as follows:

2. Effect on Delivery and Inspection. Unless otherwise set forth in this Addendum, delivery, inspection, acceptance, and risk of loss shall be governed by the Original Agreement; provided, however, that the delivery schedule is revised as set forth in this Addendum.

PAYMENT TERMS

1. Purchase Price Adjustment. The total consideration to be paid by Buyer to Seller for the items described in this Addendum is $ (the "Adjusted Purchase Price").

TERM AND TERMINATION

1. Term. This Addendum shall commence on the Effective Date and shall remain in effect until unless earlier terminated in accordance with this Addendum or the Original Agreement.

2. Termination for Breach. Either party may terminate this Addendum and the related obligations under the Original Agreement for material breach by the other party if the breaching party fails to cure such breach within days after written notice specifying the nature of the breach.

3. Effect of Termination. Termination of this Addendum shall not relieve either party of obligations accrued prior to termination, including payment obligations, and shall not limit any remedies available at law or in equity.

CONFIDENTIALITY

Each party acknowledges that it may receive Confidential Information (as defined below) of the other party in connection with this Addendum. "Confidential Information" means non-public information disclosed in connection with the transaction that is designated confidential or that reasonably should be understood to be confidential. Each receiving party shall: (a) hold Confidential Information in strict confidence; (b) use Confidential Information solely to perform its obligations under the Original Agreement as modified by this Addendum; and (c) not disclose Confidential Information to any third party except to its employees, agents, and professional advisers who have a need to know and who are bound by confidentiality obligations no less protective than those herein. The obligations under this paragraph shall survive termination or expiration of this Addendum for a period of .

REPRESENTATIONS AND WARRANTIES

Each party represents and warrants that: (a) it is duly organized and validly existing under applicable law and has the authority to enter into this Addendum; (b) execution and delivery of this Addendum and performance of its obligations hereunder have been duly authorized; and (c) this Addendum constitutes a legal, valid and binding obligation enforceable against it in accordance with its terms.

GOVERNING LAW

This Addendum shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in that state for resolution of disputes arising under this Addendum.

ENTIRE AGREEMENT; MISCELLANEOUS

This Addendum, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating thereto. Except as expressly modified by this Addendum, all other terms and conditions of the Original Agreement remain unchanged and in full force and effect. Any further amendments to the Original Agreement must be made in writing and signed by both parties.

If any provision of this Addendum is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect and the parties shall negotiate in good faith a valid provision that most closely approximates the parties' intent.
