This Sale Agreement (the Agreement) is entered into by and between Seller and Buyer identified above. Seller agrees to sell, transfer and convey to Buyer, and Buyer agrees to purchase from Seller, the goods and/or assets described in the Itemization below in accordance with the terms and conditions set forth herein.

Payment Terms

Buyer shall pay Seller the Total Purchase Price in accordance with the payment schedule and method below. Unless otherwise agreed, time is of the essence for all payment obligations.

Delivery; Risk of Loss

Unless otherwise agreed in writing, risk of loss passes to Buyer upon delivery to the carrier. Seller shall package the goods in a commercially reasonable manner for transport.

Inspection and Acceptance

Buyer shall inspect goods upon receipt and shall notify Seller in writing of any nonconformity within days of delivery. If Buyer fails to provide timely notice, the goods shall be deemed accepted.

Title; Taxes

Title to the goods shall transfer to Buyer upon receipt of full payment of the Total Purchase Price, unless otherwise agreed. Buyer shall be responsible for all sales, use, excise, transfer, or other taxes, fees or duties imposed on the transaction, excluding taxes on Seller’s net income.

Warranties

Seller warrants to Buyer that, as of the Effective Date, Seller has good and marketable title to the goods, free and clear of all liens and encumbrances except as disclosed in writing to Buyer. EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, UNLESS A BOX BELOW IS CHECKED.

Sale is made AS-IS, WHERE-IS, WITH ALL FAULTS.

Indemnification

Each party agrees to indemnify, defend and hold harmless the other party from and against any third-party claims, liabilities, losses, costs and expenses (including reasonable attorneys’ fees) arising from that party’s breach of this Agreement, willful misconduct or negligence in performance of its obligations hereunder.

Limitation of Liability

EXCEPT FOR LIABILITY ARISING FROM A PARTY'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD OR INDEMNIFICATION OBLIGATIONS, NEITHER PARTY SHALL BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES. THE AGGREGATE LIABILITY OF EITHER PARTY ARISING OUT OF OR RELATING TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID OR PAYABLE BY BUYER UNDER THIS AGREEMENT.

Default and Remedies

If Buyer fails to pay any amount when due, Seller may, in addition to other remedies, suspend deliveries, cancel unshipped orders, and recover interest and costs of collection. Remedies are cumulative unless otherwise specified.

Governing Law; Venue

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties submit to the exclusive jurisdiction of the courts located in for resolution of disputes.

Notices

All notices, demands, or other communications required or permitted under this Agreement shall be in writing and delivered to the addresses set forth in the Parties section, or to such other address as a party may specify by notice pursuant to this section.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings. No amendment shall be effective unless in writing and signed by both parties.
