What a Sales Account Executive Agreement Covers

A Sales Account Executive Agreement is a written contract between an employer and a sales account executive that sets out the working relationship, compensation model, commission calculations, territories or accounts, performance expectations, and term. It typically includes confidentiality and intellectual property provisions, non-solicitation or non-compete limits, termination and notice rules, dispute resolution, and signature blocks for all parties. The document clarifies payment timing, quota measurement, clawback conditions, and recordkeeping responsibilities, reducing ambiguity about pay and legal risk while preserving evidence of agreed terms.

Why a Clear Agreement Matters for Sales Roles

A precise Sales Account Executive Agreement reduces disputes over commissions, clarifies performance metrics and payment timing, and documents confidentiality obligations and ownership of customer relationships. It also helps employers comply with tax reporting and employment laws while giving salespeople a clear basis for earnings and expectations.

Why a Clear Agreement Matters for Sales Roles

Who Typically Prepares and Signs This Agreement

All signatories should review payment formulas and post-termination restrictions before signing to avoid later disputes.

  • HR and Payroll teams ensure tax classification, commission scheduling, and payroll integration.
  • Sales managers define territory, quota, and performance metrics for commission calculations.
  • In-house or outside counsel review enforceability of restrictive covenants and compliance with state law.

Primary Parties and Roles

Sales Account Executive

An individual contributor responsible for managing assigned accounts and meeting sales targets. The agreement defines commission eligibility, base salary (if any), quota, territory boundaries, and reporting obligations; it should also spell out timing of commission payments and any clawback or adjustment procedures.

Employer / Sales Manager

The hiring company or sales leader who sets compensation and policy. Their responsibilities include defining territories, maintaining accurate sales records, issuing timely payments, and providing clear documentation of commissionable transactions to support payroll and tax reporting.

Core Elements to Include in the Agreement

A comprehensive Sales Account Executive Agreement contains standard contractual elements plus sales-specific sections that govern pay, territories, metrics, and post-employment restrictions.

Parties & Recitals

Identify legal names, business entities, and the contract purpose; include effective date and relationship (employee vs contractor) to determine tax and labor obligations.

Compensation

Describe base salary, commission rates, accelerators, draws, threshold quotas, and examples showing calculation of typical commission events to reduce ambiguity.

Territory & Accounts

Define geographic or account-based boundaries, ownership rules for leads and accounts, and procedures for account transfers or carve-outs.

Duties & Metrics

Specify required activities, quota measurement periods, acceptable documentation for sales, and how disputes over reported sales are resolved.

Confidentiality & IP

Protect trade secrets, customer lists, and proprietary materials with clear confidentiality clauses and IP assignment where applicable.

Termination & Post-Term

Include notice periods, final commission calculations, clawback terms, non-solicitation or non-compete clauses subject to state law, and severance if provided.

Common Preparation Mistakes to Avoid

  • Using vague commission triggers such as 'reasonable efforts' instead of specific, measurable sale events leads to disputes over payment eligibility.
  • Failing to attach exhibits (price lists, target account lists, or quota schedules) that define commissionable transactions creates ambiguity at payout time.
  • Neglecting to specify whether commissions survive termination and under what conditions results in costly retroactive adjustments and clawbacks.
  • Not aligning employment classification with tax reporting (W-2 versus 1099) increases the risk of IRS penalties and state employment audits.
