What a Sales and Delivery Agreement Covers

A Sales and Delivery Agreement is a legal contract documenting the sale of goods or services and the terms governing delivery, acceptance, transfer of title, warranty obligations, payment, and remedies for breach. It specifies quantities, delivery methods, shipment dates, inspection and acceptance procedures, risk of loss, and any insurance or carrier instructions. The agreement clarifies responsibilities for shipping, delays, partial deliveries, and returns, and establishes the governing law and dispute resolution path so both seller and buyer have a clear record of their commercial obligations and timing expectations.

Why a Clear Sales and Delivery Agreement Matters

A precise agreement reduces ambiguity about delivery obligations, limits commercial disputes, and defines remedies for late or nonconforming shipments.

Why a Clear Sales and Delivery Agreement Matters

Typical Parties and Roles for This Agreement

Sellers, buyers, logistics coordinators, procurement teams, and legal or contract administrators commonly prepare or sign Sales and Delivery Agreements.

  • Procurement Teams — Create purchase terms, confirm delivery windows, and coordinate acceptance testing with operations and suppliers.
  • Sales and Account Managers — Negotiate price, delivery schedules, and warranty terms to align commercial expectations with fulfillment capacity.
  • Legal / Contract Administrators — Review liability clauses, insurance, governing law, and remedies; manage amendments and record retention.

Parties named in the signature block should have authority to bind their organization and must follow any corporate signature rules or delegated authority thresholds.

Configuring an Online Signing Workflow

Set up roles, fields, and authentication to match your operational process before sending the agreement for signature.

Field Configuration
Template Save a reusable template to prepopulate terms and reduce manual errors.
Signing Order Set sequential or parallel signing to match approval hierarchy.
Authentication Require email, SMS code, or stronger verification for high-risk transactions.
Reminders Enable automated reminders and expiration notices to speed completion.

Typical Online Execution Flow

A digital signing workflow follows predictable stages from upload to completed record and audit trail capture.

  • Upload Document: Sender uploads final agreement file.
  • Place Fields: Add signature, date, and data fields.
  • Send for Signature: Assign signers and send by email or link.
  • Complete & Store: Signed copy and audit trail are saved.

Technical Considerations for Electronic Execution

Confirm file formats, signer authentication, and storage destinations before initiating e-signature workflows.

  • File Formats: Use PDF or DOCX for best compatibility.
  • Integrations: Connect to CRM, ERP, or cloud storage for automated recordkeeping.
  • Security: Ensure TLS and AES encryption in transit and at rest.

Maintain an audit trail capturing timestamps, IP, and signer attribution to preserve enforceability under ESIGN and UETA.

Common Timelines and Deadlines in the Agreement

Specify precise deadlines for delivery, inspection, payment, and notice periods to reduce disputes and clarify remedies.

Delivery Date:

Date by which goods must be tendered or services commence.

Inspection Period:

Window for buyer to inspect and report nonconformities, commonly 7–30 days.

Payment Due Date:

Net terms such as Net 30 or Net 60 from invoice date.

Notice of Defect:

Timeframe to notify seller of defects to preserve remedies.

Cure Period:

Period allowed for seller to repair or replace nonconforming goods.

Common Mistakes to Avoid When Preparing the Agreement

  • Using vague delivery terms such as 'as soon as possible' instead of a specific date or window, which invites disputes and delays.
  • Failing to define acceptance criteria and inspection steps, leaving parties to disagree on whether goods meet contract specifications.
  • Omitting allocation of risk of loss and title transfer timing, which can shift unexpected costs to one party during transit.
  • Not specifying remedies for late delivery or nonconforming goods, resulting in unclear entitlement to discounts, returns, or termination.

Penalties and Legal Risks of an Incomplete or Incorrect Agreement

Breach Damages: Compensatory damages possible
Late-Delivery Fees: Contractual liquidated damages
Tax Exposure: Incorrect reporting risks penalties
Lost Title: Misallocated risk may shift liability
Insurance Gaps: Missing coverage requirements
Enforceability: Improper execution undermines claims
