SALES COMMISSION AGREEMENT

This Sales Commission Agreement (the "Agreement") is made and entered into as of , between Company Name: (the "Company"), and Agent Name: (the "Agent").

RECITALS

WHEREAS, the Company develops, markets, and sells the products and services described in this Agreement and desires to expand its customer base through third-party sales efforts; and

WHEREAS, the Agent represents that the Agent has the experience, contacts, and capability to solicit orders and facilitate sales of the Company's products and services in accordance with the terms set forth herein; and

WHEREAS, the Company desires to engage the Agent on a commission basis and the Agent desires to accept such engagement on the terms and conditions set forth in this Agreement.

SCOPE OF WORK

The Agent shall use reasonable efforts to solicit orders, present the Company's products and services to prospective customers, and facilitate execution of sales agreements in territories and market segments agreed by the parties. The Agent shall act in accordance with the Company's policies and pricing guidelines and shall promptly report all leads, offers, and customer feedback to the Company.

PAYMENT TERMS

The Company shall pay the Agent commissions as compensation for sales procured by the Agent in accordance with the terms below. Commissions are earned only upon: (i) execution of a binding agreement between the Company and a customer, and (ii) receipt of full payment from such customer to the Company, unless otherwise agreed in writing.

TERM AND TERMINATION

Term: This Agreement shall commence on , and shall continue until , unless earlier terminated as provided herein.

Termination Without Cause: Either party may terminate this Agreement without cause upon written notice to the other party provided at least days prior to the effective termination date.

Termination For Cause: Either party may terminate this Agreement upon written notice if the other party materially breaches any representation, warranty, or obligation hereunder and fails to cure such breach within thirty (30) days after receiving written notice specifying the breach.

CONFIDENTIALITY

Each party acknowledges that during the performance of this Agreement it may receive confidential and proprietary information of the other party. The receiving party shall: (a) use such confidential information solely for the performance of this Agreement; (b) restrict disclosure to its employees, contractors, and agents who have a need to know and who are bound by confidentiality obligations no less protective than those contained herein; and (c) not disclose or permit disclosure to any third party without the disclosing party's prior written consent. Confidential information shall not include information that is or becomes publicly known through no wrongful act of the receiving party, is rightfully received from a third party without restriction, or is independently developed without use of the disclosing party's confidential information.

The obligations of confidentiality shall survive termination of this Agreement for a period of .

INDEPENDENT CONTRACTOR; TAXES

The Agent is an independent contractor and is not an employee, partner, or joint venturer of the Company. The Agent shall be responsible for all taxes, withholdings, and other statutory or contractual obligations of an independent contractor. The Company shall not control the means or methods of the Agent's performance, except as expressly provided in this Agreement.

NON-SOLICITATION

During the Term and for a period of twelve (12) months following termination, the Agent shall not directly solicit or induce any customer of the Company with whom the Agent had material contact during the Term for the purpose of offering products or services that compete with those of the Company.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflicts of law principles. The parties shall first attempt in good faith to resolve any dispute arising out of or relating to this Agreement through negotiation between senior representatives. If the dispute is not resolved within sixty (60) days, either party may pursue any remedy available at law or in equity.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement or any rights hereunder without the prior written consent of the other party, except that the Company may assign this Agreement in connection with a sale of substantially all of its assets or by merger.

Amendment: This Agreement may be amended only by a written instrument signed by both parties.

Severability: If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations, and communications, whether written or oral, relating to the subject matter of this Agreement.

All notices and communications required or permitted hereunder shall be in writing and delivered to the addresses set forth below or to such other address as either party may designate in writing.
