SALES COMMISSION AGREEMENT

Recitals

WHEREAS, Company Name: is engaged in the sale of goods and/or services described herein; and

WHEREAS, Sales Representative: has expertise and will promote and procure sales of the Company's products and services on the terms set forth below; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows.

Parties and Effective Date

Scope of Work

The Sales Representative shall solicit orders and procure customers for the Company's products and services within the agreed territory and for the product lines identified in this Agreement. The Representative shall perform efforts consistent with industry standards and in compliance with Company policies provided in writing.

Commission and Payment Terms

The Company agrees to pay the Sales Representative commissions in accordance with the terms below. Commissions are earned only when full payment is received from the customer and the sale is not subject to future return, credit, or setoff.

Late fee applies to amounts unpaid after days from invoice due date.

Company may offset commissions for returned, cancelled or uncollectible orders. If commission amounts have been paid on an order that is subsequently refunded or charged back, the Representative shall promptly repay the amount to Company upon demand, or Company may offset future commissions until recovered.

Term and Termination

This Agreement commences on Start Date: and continues until End Date: unless earlier terminated pursuant to this section.

Either party may terminate this Agreement without cause upon written notice delivered at least days prior to the effective date of termination. Either party may terminate for material breach that remains uncured for thirty (30) days after written notice of breach.

Commissions on orders accepted and paid by Company prior to termination shall be paid in accordance with the Payment Terms. Commissions for contracts executed after termination shall be paid only as expressly provided in writing. Post-termination commission entitlement (if any) shall be for a period of following termination and only for sales sourced by the Representative during the Term.

Confidentiality

Representative acknowledges that in the course of performing duties under this Agreement, the Representative will receive confidential and proprietary information belonging to Company. Representative shall not use or disclose such information except as necessary to perform under this Agreement. This obligation survives termination for a period of five (5) years or as required by law.

Independent Contractor; Taxes

Representative is an independent contractor and not an employee of Company. Representative shall be solely responsible for all federal, state and local taxes, contributions or insurance premiums arising from commissions and compensation paid under this Agreement. Company will not withhold taxes on behalf of Representative except as required by applicable law.

Non-Solicitation

During the Term and for a period of following termination, Representative shall not directly solicit Company's customers with whom Representative had material contact during the Term for products or services competitive with Company's offerings.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising under this Agreement shall be resolved in the state or federal courts located in or by binding arbitration if the parties so agree in writing.

Entire Agreement; Amendment

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior agreements and understandings. No amendment or modification shall be binding unless in writing and signed by authorized representatives of both parties.

Miscellaneous

Neither party may assign this Agreement without the prior written consent of the other, except that Company may assign to an affiliate or successor in connection with a merger or sale of substantially all of its assets. If any provision of this Agreement is held invalid, the remainder shall continue in full force.
