Definitions

For purposes of this Plan, the following terms have the meanings set forth below unless otherwise specified in writing:

"Plan" means this Sales Compensation Plan and all schedules attached hereto. "Commissionable Revenue" means revenue recognized in accordance with Company accounting policy less returns, allowances and taxes. "Quota" means the sales target established for the Sales Representative for the applicable period.

Payment Terms

Commissions are calculated on Commissionable Revenue actually recognized by Company and paid within days following the end of the calendar period in which revenue is recognized. Payments are subject to standard payroll cycles and withholding where applicable.

Adjustments, Clawback and Overpayments

Company reserves the right to adjust commission payments to correct errors, chargebacks, refunds or returns. Commission overpayments are subject to clawback and may be deducted from future payments or recovered in accordance with applicable law. Specific clawback policy:

Termination, Changes and Governing Law

This Plan may be amended or terminated by Company with prior written notice to Sales Representative, except that no amendment reducing previously earned but unpaid commissions shall apply to amounts already earned. Upon termination, commissions on transactions that meet all conditions for payment prior to termination shall be payable in accordance with the Payment Terms. Notice period for termination:

Confidentiality and Non-Solicitation

Sales Representative acknowledges that commission plans, rates and customer information are confidential business information of Company. For the term of engagement and for a period of following termination, Sales Representative shall not solicit Company customers for competing products, subject to reasonableness limitations.

Dispute Resolution

In the event of a dispute regarding commission calculations or payments, the parties agree to submit the dispute to good faith negotiation. If not resolved within 30 days, the dispute may proceed to arbitration in accordance with the arbitration agreement selected: .
