The parties acknowledge that in connection with the performance of this Amendment each party may receive Confidential Information of the other. "Confidential Information" means non-public information designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Each party shall (a) hold the other party's Confidential Information in confidence, (b) use such Confidential Information only as necessary to perform under this Amendment, and (c) not disclose such Confidential Information to any third party except as permitted by the Original Contract or required by law.

OTHER PROVISIONS

Governing Law: This Amendment shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

Entire Agreement: Except as expressly modified hereby, the Original Contract and this Amendment constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior and contemporaneous agreements, understandings and representations, whether written or oral. In the event of any conflict between the terms of this Amendment and the Original Contract, the terms of this Amendment shall control.

Amendment Procedure: No modification, waiver, or amendment of any provision of this Amendment shall be effective unless in writing and signed by authorized representatives of both parties.

REPRESENTATIONS; EFFECT OF AMENDMENT

Each party represents and warrants that: (a) it has full power and authority to enter into and perform its obligations under this Amendment; and (b) the person executing this Amendment on its behalf is duly authorized to do so. Except as expressly set forth herein, the parties confirm that all representations, warranties and obligations set forth in the Original Contract remain in full force and effect.
