Confidential information does not include information that is (a) already known to the receiving party without an obligation of confidentiality, (b) publicly available other than by breach of this Agreement, (c) rightfully received from a third party without restriction, or (d) independently developed without use of the disclosing party's confidential information. The receiving party shall use confidential information only for the purpose of evaluating and responding to the sales engagement and shall take reasonable measures to protect such information from unauthorized disclosure.

GOVERNING LAW

This Questionnaire and any related agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of law principles.

ENTIRE AGREEMENT

This document, together with any written attachments executed by the parties, constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.
