The undersigned customer agrees to pay the full invoice amount by the Due Date specified above. If payment is not received by the due date, interest will accrue at the lesser of 1.5% per month (18% per annum) or the maximum rate permitted by law on the outstanding balance from the due date until paid in full. In addition, a late fee of up to $35 may be assessed for past-due invoices.

Buyer is responsible for all applicable sales, use, excise or other taxes, unless a valid exemption certificate is provided. Title to goods remains with the Seller until payment is received in full. Seller reserves the right to suspend deliveries or cancel orders in the event of nonpayment or insolvency of Buyer.

In the event of collection or litigation to enforce payment, Buyer shall be responsible for all collection expenses, including reasonable attorney fees, court costs and pre-judgment and post-judgment interest. Goods returned without prior written authorization may be subject to a restocking fee.
