Confidential Information may only be used to evaluate and negotiate a potential business relationship and may not be disclosed to third parties except to those employees, agents, or advisors who need to know and who are bound by confidentiality obligations no less protective than those herein. The obligations of confidentiality shall survive termination of negotiations for a period of two (2) years, unless otherwise agreed in a definitive agreement.

Governing Law

This Sales Lead Sheet and any dispute arising out of or relating to it shall be governed by and construed in accordance with the laws of the state whose jurisdiction is mutually agreed upon in any subsequent definitive agreement. In the absence of such agreement, the laws of the state in which the Company maintains its principal place of business shall govern.

Except where expressly stated otherwise, this Sales Lead Sheet is intended to record preliminary information and to facilitate negotiation. Except for the confidentiality provisions and any express statements of binding obligation contained herein, the parties acknowledge that this document is non-binding and does not create a legally enforceable obligation to enter into any transaction. Any binding obligations will arise only upon execution of a definitive written agreement signed by authorized representatives of both parties. This document, together with any subsequent written agreement expressly incorporating it, constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior discussions and understandings.
