Each party (the "Receiving Party") shall maintain in confidence all non-public information disclosed by the other party (the "Disclosing Party") that is designated confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential information does not include information that (a) is or becomes generally available to the public other than as a result of a breach of this Agreement; (b) was known to the Receiving Party prior to disclosure; (c) is lawfully received from a third party without restriction; or (d) is independently developed without use of the Disclosing Party's confidential information.

The Receiving Party shall not disclose Confidential Information to any third party except to those employees, contractors or advisors who have a need to know and who are bound by confidentiality obligations no less protective than those set forth in this Agreement. The Receiving Party shall use the Confidential Information solely to perform its obligations under this Agreement.

REPRESENTATIONS; WARRANTIES

Seller represents and warrants that Seller has good and marketable title to the goods and that, to Seller's knowledge, the goods are free of any security interest, lien, or encumbrance, except as disclosed in writing to Buyer prior to the Effective Date. THE WARRANTIES SET FORTH IN THIS SECTION ARE THE SOLE WARRANTIES PROVIDED BY SELLER AND ARE IN LIEU OF ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, EXCEPT WHERE SUCH DISCLAIMERS ARE PROHIBITED BY LAW.

GOVERNING LAW; DISPUTE RESOLUTION

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflicts of law principles. Any dispute arising out of or relating to this Agreement shall be resolved in the state or federal courts located within that State, and each party hereby submits to the exclusive jurisdiction and venue of those courts.

INDEMNIFICATION
