CONFIDENTIALITY

The receiving party shall: (a) hold Confidential Information in strict confidence; (b) not disclose it to third parties except to its employees, advisors or contractors with a need to know who are bound to confidentiality obligations; and (c) use it solely to perform its obligations under this Agreement.

Exceptions: Confidential Information does not include information that is or becomes generally available to the public through no breach by the receiving party, is rightfully received from a third party without restriction, or is independently developed. The obligations of confidentiality shall survive termination for a period of years.

GOVERNING LAW

This Agreement and any disputes arising out of or related to it shall be governed by and construed in accordance with the laws of the jurisdiction of , without regard to its conflicts of law principles.

ENTIRE AGREEMENT
