Sales Tax Addendum Form

Parties and Reference

This Sales Tax Addendum (the Addendum) is made effective as of and supplements the agreement referenced below between the parties.

Purpose and Scope

This Addendum defines the parties' responsibilities regarding the collection, remittance, and documentation of sales and use taxes applicable to transactions governed by the Original Agreement. The parties acknowledge that this Addendum modifies only tax-related obligations and does not alter other terms unless expressly stated.

Seller Sales Tax Obligations

Seller represents that it will collect and remit sales or use taxes on taxable sales as required by the taxing authorities having jurisdiction over the delivery location unless Buyer provides a valid exemption or resale certificate in accordance with this Addendum.

Buyer Representations and Certificates

Buyer represents that the information provided to Seller regarding tax exemption is true, accurate, and complete. Buyer must deliver to Seller a properly completed tax exemption or resale certificate for each taxing jurisdiction where Buyer claims exemption prior to the date of the transaction for which exemption is claimed.

Timing and Delivery of Certificates

Buyer must provide all required exemption documentation within days of the effective date of this Addendum or prior to any taxable sale for which exemption is claimed, whichever occurs first. Failure to timely provide such documentation authorizes Seller to collect applicable taxes.

Payment, Indemnity, and Remedies

If Seller collects no tax or a reduced tax amount as a result of Buyer's representations or certificates and a taxing authority later assesses tax, penalties, or interest, Buyer shall indemnify, defend and hold Seller harmless for all such taxes, penalties, interest, assessments, and reasonable costs of defense, including attorneys' fees.

Records and Audit Cooperation

Each party shall maintain complete and accurate records related to taxability, shipping, billing, and exemption certificates for a period of at least years. Upon reasonable notice, parties shall cooperate in good faith to provide necessary documentation to support tax positions for audit or administrative proceedings.

Termination of Addendum

This Addendum remains effective until terminated in writing by mutual agreement of the parties or in accordance with the termination provisions of the Original Agreement. Termination does not relieve any party from obligations accrued prior to termination.

Notices

All notices relating to tax matters under this Addendum shall be sent to the contact addresses set forth below or to any updated address provided in writing.

Miscellaneous Provisions

Governing law for tax-related disputes under this Addendum shall be the laws of the state specified below. If any provision of this Addendum is held invalid, the remaining provisions remain in full force and effect.

Certification

Each party certifies that the person signing below is authorized to bind the party, that all information provided in connection with tax exemption claims is true and complete, and that the party will comply with the obligations set forth in this Addendum.

What the Sales Tax Addendum Form Is

The Sales Tax Addendum Form is a supplemental agreement or attachment used to clarify sales tax responsibilities, rates, exemptions, and remittance procedures between parties to a sale. It explains which party is responsible for collecting and paying sales tax, records exemption certificates or resale certificates, and documents jurisdictional tax treatment for specific goods or services. This form helps reduce disputes, supports accurate tax reporting, and provides evidence of buyer assertions such as resale or tax-exempt status. Use it alongside primary contracts, invoices, or purchase orders to ensure consistent tax handling across transactions.

Why a Sales Tax Addendum Matters

A Sales Tax Addendum Form clarifies tax treatment, assigns collection and remittance duties, and documents exemption claims. Clear allocation reduces audit risk, supports accurate reporting to the IRS and state departments of revenue, and minimizes disputes between sellers and buyers.

Why a Sales Tax Addendum Matters

Who Completes and Uses This Form

Typical users who complete or request this form include sellers, buyers, and accounting teams responsible for tax compliance and invoicing.

  • Retail and wholesale sellers documenting resale or exemption certificates during transactions.
  • Buyers claiming resale or tax-exempt status attaching supporting certificates to purchase orders.
  • Accounting, payroll, and tax teams tracking remittance responsibilities and audit trails for state returns.

Keep completed addenda with invoices and exemption certificates to support tax filings and respond to state audit inquiries.

Core Elements to Include in a Professional Addendum

Effective Sales Tax Addendum Forms combine clear allocation language, exemption documentation, jurisdictional details, and signature blocks to make tax responsibilities and evidence explicit for auditors and tax preparers.

Tax Allocation

State who collects tax, whether tax is added to the invoice or included in the price, and whether the seller or buyer is responsible for remittance; include clauses for split responsibilities on multi-jurisdiction sales.

Jurisdiction

List the taxing jurisdiction(s) with city, county, and state when applicable, specify nexus considerations, and identify whether local options or district taxes apply to the items or services sold.

Exemption Documentation

Reference attached resale or exemption certificates by number and date, require purchaser to provide valid state-issued exemption forms, and state consequences for invalid or missing documentation.

Tax Rate & Basis

State the tax rate applied, whether tax is charged on gross receipts or separately stated items, and how discounts, shipping, or service charges are treated for tax purposes.

Audit Support

Include a clause describing record retention, access rights for audits, and requirement to supply supporting documents such as exemption certificates and invoices to state auditors upon request.

Signature Block

Provide printed name, title, signature line, and date for authorized representatives of each party; state that signatures bind parties to tax allocations in the addendum.
