The buyer is responsible for notifying the seller in writing of any claimed exemption prior to payment and providing acceptable exemption documentation. Failure to provide required documentation does not relieve buyer of responsibility for tax, interest or penalties assessed by tax authorities.

Disputes: Any dispute concerning this invoice must be submitted in writing within 15 days of the invoice date. Absent timely written notice, the invoice amount will be deemed accepted. Interest on overdue amounts shall accrue at the lesser of 1.5% per month or the maximum rate permitted by law, calculated from the due date until payment in full.

Title and Risk: Title to goods remains with the seller until payment in full; risk of loss passes upon delivery to the carrier or to buyer at the seller's premises, as applicable. Seller reserves a purchase-money security interest in sold goods until full payment is received.

Limitation of Liability: Seller's liability for any claim arising out of or relating to this invoice, whether in contract, tort or otherwise, shall not exceed the invoice amount for the goods or services giving rise to the claim. Seller is not liable for consequential, incidental or punitive damages.
