WHEREAS

WHEREAS, Salon provides professional beauty, hair, skincare, and related services and treatments using trained personnel and specified products; and

WHEREAS, Client desires to engage Salon to provide the services described in this Agreement upon the terms and conditions set forth herein; and

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

1. Scope of Work

Salon shall provide the following services (the Services). The Services shall include the performance standards and any products to be used as described below.

2. Payment Terms

Client shall pay Salon the fees set forth below for the Services. All amounts are due in United States dollars unless otherwise agreed in writing.

If any payment is not received within days after the due date, Client will pay a late fee of of the overdue amount or a minimum of , whichever is greater.

3. Term and Termination

The term of this Agreement begins on and will continue until unless earlier terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the intended termination date. Salon may terminate immediately for cause in the event of nonpayment or breach by Client.

4. Cancellation and No-Show Policy

Client must provide at least hours' notice for cancellation or rescheduling. Failure to provide required notice or failure to appear will result in a cancellation fee of .

5. Client Representations and Health Disclosure

Client represents that Client has disclosed all known allergies, skin sensitivities, medications, medical conditions, or other information that could affect the Services. Client acknowledges that failure to disclose such information may increase the risk of adverse reactions and may relieve Salon of liability.

6. Confidentiality

Each party agrees to maintain the confidentiality of the other party’s proprietary or sensitive information disclosed in connection with this Agreement and to use such information only to perform obligations under this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party, or is required to be disclosed by law or court order (provided the disclosing party is given prompt notice where permissible).

7. Liability and Indemnification

Salon will perform Services with reasonable skill and care. Except for gross negligence or willful misconduct, Salon's liability for claims arising from this Agreement or the Services shall be limited to direct damages not to exceed the total fees paid by Client under this Agreement. Client agrees to indemnify and hold Salon harmless from and against any claims, liabilities, losses, or expenses arising from Client's failure to disclose relevant health information or Client's negligent acts.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to that State's conflicts of law principles.

9. Entire Agreement

This Agreement, including all attachments and addenda executed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, representations, and understandings, whether written or oral. No amendment or modification of this Agreement shall be binding unless in writing and signed by both parties.
