Recitals

WHEREAS, the Service Provider is duly qualified and experienced in providing professional salon services, including but not limited to hair styling, coloring, treatments, and related beauty services; and

WHEREAS, the Client desires to retain the Service Provider to perform salon services as set forth in this Agreement under the terms and conditions herein; and

WHEREAS, the parties intend that the performance, compensation, confidentiality, and other provisions set forth below shall govern their relationship for the services described.

All payments are due in accordance with the payment schedule above. Any undisputed amount not paid within five (5) business days following its due date shall accrue interest at the rate specified above and may be subject to suspension of services until paid in full. Client shall be responsible for reasonable collection costs, including attorneys' fees, for overdue balances.

Either party may terminate this Agreement for convenience upon written notice given at least days prior to the effective termination date. Either party may terminate immediately for material breach by the other if the breach remains uncured after business days' written notice. Upon termination, Client remains liable for all unpaid fees for services performed and reasonable cancellation costs as described herein.

Confidentiality

Each party acknowledges that it may receive confidential information of the other party, including but not limited to pricing, formulas, client lists, medical or personal information, treatment records, and trade practices ("Confidential Information"). Both parties agree to (a) maintain Confidential Information in strict confidence, (b) use Confidential Information solely to perform its obligations under this Agreement, and (c) not disclose Confidential Information to any third party except to employees, contractors, or professional advisors who have a need to know and who are bound to confidentiality obligations no less protective than those herein.

Confidential Information does not include information that (i) is or becomes generally available to the public other than by breach of this Agreement, (ii) was rightfully in the receiving party's possession prior to disclosure, or (iii) is independently developed without reference to the Confidential Information. If disclosure is required by law or court order, the receiving party shall provide prompt written notice to the disclosing party to permit a protective order or other remedy.

Liability and Indemnification

Service Provider shall perform services in a professional manner consistent with industry standards. Client acknowledges certain cosmetic services carry inherent risks; Client agrees to disclose relevant medical conditions and consents to proceed. Each party agrees to indemnify and hold the other harmless from claims arising out of its gross negligence or willful misconduct. Neither party shall be liable for incidental, consequential, or punitive damages except in cases of willful misconduct or fraud.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties agree to attempt mediation in good faith prior to initiating litigation; any unresolved disputes shall be brought in the state or federal courts located in the chosen governing state.
