Page 1 of 2 TELECOMMUNICATIONS SYSTEMS EASEMENT STATE: COUNTY: The undersigned, _____ (the “Grantor”), their heirs and assigns, whose address is _____, for valuable consideration, the receipt and sufficiency of which is acknowledged, grants and conveys to _____ (the “Grantee”), its successors and assigns, whose address is _____, a perpetual easement, for the exclusive use of Grantee, to construct, reconstruct, operate, m aintain and remove a telecommunications system, as Grantee may, from time to time, re quire, on, over, under, and across the following land which the Grantor owns or in which the Grantor has any interest: (Description of Land) The easement shall have a width of _____ feet and cross the described land, as more fully described in Exhibit “A.” Grantee shall have the right of ingress and egress over and across the land of Grantor adjacent to the Easement, to and from the Easement and the right to clear a nd keep cleared all trees and other obstructions. Grantee shall be responsible for all damage caused to Grantor arising from Grantee’s exercise of the rights and privileges granted by this Easement. In the event of the non-use of the Easement by Grantee, its successors or assigns, for a period of _____ months, this Easement shall be considered as being abandoned and Grantee shall have _____ days in which to remove from the land and Easement all equipment placed on it. Grantee covenants and agrees to indemnify and forever hold Grantor harmless against each and every claim, demand or cause of action that may be made or come aga inst Grantor by reason or in any way arising out of any defect, imperfection, operations, maintenance, or construction of the telecommunications facility. Grantor reserves the right to occupy, use, and cultivate the Easement for all purposes not inconsistent with, nor interfering with, the rights granted to Grantee. The rights, conditions, and provisions of this Easement shall inure to the benefit of and be binding on the heirs, executors, administrators, successors, and assigns of the respective parties. Any claim, controversy or dispute arising out of this Easement shall be settled by arbitration in accordance with the applicable rules of the American Arbitration Associ ation, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction.
