What a Sanitation Services Agreement Covers

A Sanitation Services Agreement is a written contract that defines the scope, responsibilities, and commercial terms for sanitation, waste management, or janitorial services provided to a property or facility. Typical content includes parties, scope of work, schedule and frequency of service, performance standards or service levels, payment and billing terms, insurance and indemnity provisions, term and termination rights, and confidentiality or regulatory compliance clauses. The agreement creates the contractual framework for operational expectations, dispute resolution, and risk allocation between customer and provider.

Why use a formal Sanitation Services Agreement

A written agreement clarifies roles, reduces service disputes, and documents responsibilities for compliance with public health and environmental rules. It protects both parties by defining remedies for missed services, indemnities for contamination events, and insurance requirements to cover liabilities.

Why use a formal Sanitation Services Agreement

Who commonly completes this agreement

Organizations and individuals use sanitation agreements to set expectations for recurring cleaning and waste services.

  • Property managers and landlords who need routine cleaning or waste removal for residential or commercial buildings.
  • Facilities managers at schools, hospitals, and manufacturing sites who must meet regulatory sanitation and hygiene standards.
  • Commercial cleaning contractors who provide recurring janitorial, deep-clean, or hazardous-waste handling services.

Parties should ensure signatory authority and any required licenses or insurance are validated before execution.

Essential clauses to include

Include clear, measurable provisions so service levels and legal obligations are enforceable and auditable.

Parties

Identify full legal names and business entity types of the service provider and the customer, including any DBA names and addresses.

Scope of Work

Define tasks, equipment used, service frequency, locations, and any excluded services to avoid ambiguity in performance expectations.

Service Levels

Specify measurable standards (e.g., response times, cleanliness metrics, inspection frequency) and remedies for nonconformance.

Payment Terms

State rates, invoicing cadence, late fees, acceptable payment methods, and conditions for price adjustments or fuel surcharges.

Insurance & Indemnity

Set minimum insurance limits, certificate requirements, and mutual indemnity language for third-party claims and environmental incidents.

Term & Termination

Include initial term, renewal mechanics, notice periods for nonrenewal or termination for convenience, and cure periods for breaches.
