SCHEDULED MAINTENANCE ROOF AGREEMENT

This Scheduled Maintenance Roof Agreement ("Agreement") is entered into as of by and between:

RECITALS

WHEREAS, Client owns or manages the roof and related rooftop systems located at the premises identified above and desires scheduled preventative maintenance to preserve roof integrity and prolong service life; and

WHEREAS, Service Provider represents that it has the necessary qualifications, personnel, equipment, insurance, and experience to perform routine roof inspection, maintenance, minor repairs, and reporting in accordance with the terms of this Agreement; and

WHEREAS, the parties desire to set forth the scope, schedule, compensation, and other terms governing scheduled roof maintenance.

SCOPE OF WORK

Service Provider will perform scheduled maintenance, inspections, and routine minor repairs on the roof and rooftop components as described below. Major repairs, replacements, or alterations are excluded unless expressly authorized in a written change order.

PAYMENT TERMS

Client shall pay Service Provider the fees set forth in this section in consideration for the services rendered under this Agreement. Fees are exclusive of applicable taxes unless otherwise stated.

Late payments shall incur a late fee of or a flat fee of at the discretion of the Service Provider. Interest will accrue on unpaid balances in accordance with the stated late fee.

TERM AND TERMINATION

The term of this Agreement begins on and ends on unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breaching party fails to cure such breach within 15 days following written notice.

Upon termination, Service Provider shall be entitled to payment for services performed and materials purchased through the effective date of termination. Client may withhold payment only for disputed work and must notify Service Provider with a written description of the dispute.

INSPECTION, REPORTING, AND CHANGE ORDERS

INSURANCE, WARRANTIES, AND COMPLIANCE

Service Provider shall maintain commercial general liability insurance, workers' compensation, and automobile liability insurance in amounts customary for the industry and provide proof of insurance upon request. Service Provider warrants that services will be performed in a workmanlike manner for a period of from completion of each maintenance visit. This warranty covers defects in workmanship but does not cover defects caused by pre-existing conditions, acts of God, or client negligence.

Service Provider shall comply with all applicable laws, codes, and regulations, and shall ensure that personnel are trained in applicable safety procedures. Client shall provide safe access to the roof and notify Service Provider of known hazards.

CONFIDENTIALITY

Each party agrees that, during the term of this Agreement and for a period of two (2) years thereafter, it will not disclose to any third party any non-public business or technical information of the other party obtained in connection with this Agreement, except (i) as necessary to perform obligations hereunder, (ii) as required by law, or (iii) with the disclosing party's prior written consent. Confidential information does not include information that is publicly available through no fault of the receiving party.

INDEMNIFICATION AND LIMITATION OF LIABILITY

Service Provider shall indemnify, defend, and hold harmless Client from and against third-party claims arising out of Service Provider's negligent acts or omissions in performing services under this Agreement. Client shall indemnify Service Provider for claims arising from Client's negligence or failure to disclose site conditions. Except for willful misconduct or gross negligence, neither party shall be liable to the other for indirect, special, incidental, or consequential damages, and each party's aggregate liability for direct damages shall not exceed the total fees paid under this Agreement during the twelve (12) months preceding the event giving rise to liability.

GOVERNING LAW; ENTIRE AGREEMENT

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to conflict of laws principles.

This Agreement, including any attachments and executed change orders, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings. No modification shall be effective unless in writing and signed by both parties.
