SCRAP MATERIAL AGREEMENT

This Scrap Material Agreement (the "Agreement") is made and entered into as of Effective Date: by and between:

WHEREAS, Seller generates scrap material consisting principally of ("Scrap Materials") at the Seller's facility located at ;

WHEREAS, Buyer is engaged in the business of processing and purchasing scrap material and has expertise, equipment and permits necessary to receive, transport and process the Scrap Materials; and

WHEREAS, the parties desire to set forth the terms and conditions under which Seller will sell and deliver, and Buyer will purchase and accept, the Scrap Materials.

Scope of Work

Purchase Price: Buyer shall pay Seller a purchase price of $ per for accepted Scrap Materials, subject to the adjustments and deductions set forth herein.

Late Fee: Unpaid amounts shall incur interest at a rate of % per month (or the maximum permitted by law, if less), plus a minimum late fee of $ .

Term and Termination

Term: This Agreement shall commence on and shall continue in full force until unless earlier terminated in accordance with this Agreement.

Termination for Convenience: Either party may terminate this Agreement without cause upon providing days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately upon material breach by the other party if such breach is not cured within thirty (30) days after written notice of breach; termination shall not relieve either party of liabilities accrued prior to termination.

Confidentiality

Each party agrees that it shall keep confidential all non-public business information, pricing, formulas, processes, customer lists and other proprietary information disclosed by the other party ("Confidential Information") and shall not disclose such Confidential Information to any third party except as necessary to perform this Agreement or as required by law. Confidentiality obligations shall survive termination for a period of years.

Seller acknowledges and agrees to the Confidentiality obligations.

Warranties; Compliance; Indemnity

Seller warrants that at the time of delivery, the Scrap Materials shall be owned or legally controlled by Seller and that Seller has the full right to sell and transfer the Scrap Materials to Buyer. Seller further warrants that to Seller's knowledge, the Scrap Materials do not contain hazardous wastes not disclosed to Buyer in writing. Each party shall comply with applicable environmental, health and safety laws in connection with its performance under this Agreement.

Indemnity: Each party (the "Indemnitor") shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any third-party claims, liabilities, losses or expenses (including reasonable attorneys' fees) arising out of the Indemnitor's breach of this Agreement, negligence or willful misconduct.

Limitation of Liability

Except for liabilities arising from gross negligence, willful misconduct or indemnity obligations, neither party shall be liable to the other for lost profits or consequential, incidental or punitive damages. The aggregate liability of each party for direct damages arising out of this Agreement shall not exceed the total amounts paid or payable by Buyer to Seller under this Agreement in the six (6) months preceding the claim.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Venue for any action arising under this Agreement shall be in the competent state or federal courts located in that State.

Entire Agreement; Amendments

This Agreement, together with any attachments and written purchase orders executed under this Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. No amendment, modification or waiver shall be effective unless in writing and signed by authorized representatives of both parties.

Severability and Assignment

If any provision of this Agreement is held invalid or unenforceable, the remainder of this Agreement shall remain in full force and effect. Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Buyer may assign to a successor in connection with a merger or sale of substantially all of its assets.
