SCRIPT WRITER CONTRACT AMENDMENT FORM

This Amendment to the Script Writer Agreement (this "Amendment") is made and entered into as of by and between Client Name: with principal address (\"Producer\"), and Writer Name: with principal address (\"Writer\").

Reference is made to that certain agreement titled dated (the "Original Agreement").

RECITALS

WHEREAS, Producer and Writer entered into the Original Agreement for the development and delivery of a screenplay or script materials; and

WHEREAS, the parties desire to amend certain terms of the Original Agreement as set forth herein while leaving the remainder of the Original Agreement in full force and effect; and

WHEREAS, the parties acknowledge that the amendments set forth in this Amendment supersede and control in the event of any conflict with the Original Agreement.

NOW, THEREFORE

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein and other good and valuable consideration, the sufficiency of which is hereby acknowledged, the parties agree to amend the Original Agreement as follows:

1. INCORPORATION OF ORIGINAL AGREEMENT

Except as expressly modified by this Amendment, the terms and conditions of the Original Agreement remain unchanged and are hereby ratified and confirmed. This Amendment and the Original Agreement shall be read together as a single instrument.

2. AMENDED TERMS

2.1 Compensation. The Producer shall pay the Writer the sum of as full and complete compensation for the services covered by this Amendment, subject to the following payment schedule:

2.2 Delivery Schedule. The delivery obligations set forth in the Original Agreement are amended so that the next deliverable is due on or before . Time is of the essence with respect to such deadline.

2.4 Ownership and Rights. Notwithstanding any contrary provision in the Original Agreement, the Writer hereby assigns to Producer all right, title and interest in and to the Work created under this Amendment, including all copyright and ancillary rights, except for the limited rights expressly reserved below.

2.5 Warranties and Representations. Writer represents and warrants that the Work is original to Writer (except for any material expressly identified in writing), that Writer has full power to enter into this Amendment and to grant the rights herein, and that, to Writer's knowledge, the Work does not infringe any third-party rights. Producer represents and warrants that it has the authority to enter into this Amendment on behalf of the production.

2.6 Confidentiality. All confidential information and proprietary materials exchanged between the parties shall remain subject to the confidentiality provisions of the Original Agreement except as expressly modified herein.

2.7 Indemnification. Each party shall indemnify, defend and hold harmless the other from and against any and all claims, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of a breach of such party's representations, warranties or obligations under this Amendment, except to the extent caused by the indemnitee's gross negligence or willful misconduct.

2.8 Other Amendments. The following additional provisions amend the Original Agreement as of the Effective Date:

Except as expressly provided in this Amendment, the Original Agreement shall remain in full force and effect and is hereby ratified by the parties. In the event of any inconsistency between this Amendment and the Original Agreement, the terms of this Amendment shall control.

4. NOTICES

All notices required or permitted under this Amendment shall be in writing and delivered to the addresses set forth below or to such other address as a party may designate by written notice.

5. MISCELLANEOUS

Governing Law. This Amendment shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of law principles.

Entire Agreement. This Amendment, together with the Original Agreement, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and negotiations, whether written or oral.

Severability. If any provision of this Amendment is held invalid or unenforceable, the remainder of this Amendment shall remain in full force and effect and such invalid or unenforceable provision shall be construed so as to best effectuate the intent of the parties.

Waiver; Amendment. No waiver of any breach of any provision of this Amendment shall be effective unless in writing and signed by the party to be charged. This Amendment may be amended only by a written instrument signed by both parties.

Counterparts. This Amendment may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument. Signatures delivered by electronic means shall be binding for all purposes.
