RECITALS

WHEREAS, the Seal Owner is the lawful owner of the corporate seal described in this Agreement and has authority to determine its custody and use; and

WHEREAS, the Seal Custodian agrees to hold, maintain, and apply the seal solely in accordance with the terms and limitations set forth herein to ensure the integrity and lawful use of the seal; and

WHEREAS, the parties desire to document the permitted scope, custodial responsibilities, payment for custodial services (if any), confidentiality obligations, and the procedures for termination and return of the seal.

DESCRIPTION OF SEAL

SCOPE OF WORK

The Seal Custodian shall, in accordance with this Agreement, perform the custodial and application services described below and shall not use the seal for any purpose beyond those expressly authorized.

PAYMENT TERMS

As consideration for custodial services and responsibilities under this Agreement, the Seal Owner shall pay the Seal Custodian in accordance with the terms below.

TERM AND TERMINATION

This Agreement commences on and shall continue until unless earlier terminated in accordance with this Section.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within the notice period specified above. Upon termination for any reason, the Seal Custodian shall promptly return the physical seal and all records of use to the Seal Owner and provide a complete, dated custody log.

CONFIDENTIALITY

The parties acknowledge that certain information exchanged in connection with the custody and use of the seal may be confidential. Each party shall maintain in confidence all non-public business, technical, and operational information disclosed by the other party and shall not disclose such information except as required by law or with prior written consent. Confidential materials shall include custody logs, specimen impressions, and security measures associated with the seal.

INDEMNIFICATION

The Seal Custodian shall indemnify and hold harmless the Seal Owner from and against any and all claims, liabilities, losses, damages, costs and expenses (including reasonable attorneys' fees) arising from unauthorized use, negligent custody, or breach of this Agreement by the Seal Custodian, except to the extent caused by the Seal Owner's breach or willful misconduct.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles.

ENTIRE AGREEMENT

This Agreement, including any attachments or exhibits expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, representations, and understandings, whether oral or written. Any modification to this Agreement must be in writing and signed by authorized representatives of both parties.

MISCELLANEOUS

If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall continue in full force and effect. The failure of a party to enforce any right shall not be deemed a waiver of such right.
