This Sealant Application Form and Agreement (the Agreement) is made between:

Whereas

WHEREAS, Client owns or controls the property located at: (Property); and

WHEREAS, Contractor is engaged in the business of providing surface preparation and sealant application services and represents that it has the skill, personnel, equipment, and insurance to perform such services; and

WHEREAS, Client desires to retain Contractor to apply sealant to designated surfaces at the Property and Contractor agrees to perform the work under the terms set forth in this Agreement.

Scope of Work

Contractor shall furnish all labor, materials, equipment, and supervision necessary to perform the sealant work described below. Work shall include, at a minimum, surface preparation, masking, application of specified sealant systems, inspection, and site cleanup as required for a complete installation.

Payment Terms

Client agrees to pay Contractor the total contract sum as set forth below. All amounts are payable in U.S. dollars unless otherwise agreed in writing.

Invoices unpaid after ten (10) days following issuance shall incur the Late Payment Fee above and Client shall be responsible for reasonable collection costs and attorneys' fees incurred by Contractor in collecting overdue amounts.

Term and Termination

This Agreement commences on the Start Date and continues until completion of the Scope of Work or the End Date, whichever occurs first, unless earlier terminated in accordance with this Agreement.

Either party may terminate this Agreement for material breach that remains uncured for the Notice Period after written notice. Termination by Client without cause prior to substantial performance obligates Client to pay for work performed, materials purchased, and reasonable demobilization costs.

Insurance, Safety and Compliance

Contractor shall maintain, at its expense, commercial general liability, workers' compensation, and automobile liability insurance in industry-standard amounts and shall provide certificates of insurance to Client upon request. Contractor shall comply with all applicable laws, codes, ordinances, and site-specific safety rules and shall ensure personnel are trained in safe application and handling of sealant materials.

Warranties and Remedies

Contractor warrants that the sealant work will be free from defects in workmanship for a warranty period of: Following completion and final payment. This warranty does not cover damage from misuse, abandonment, structural movement, or normal wear and tear. Contractor's sole obligation under this warranty shall be to repair or replace defective work at its sole cost.

Confidentiality

Each party shall maintain in confidence all non-public information disclosed by the other party in connection with this Agreement and shall not disclose such information to third parties except as required by law or as necessary to perform this Agreement. Confidential information does not include information that is or becomes publicly available through no fault of the receiving party.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state or jurisdiction in which the Property is located, without regard to conflict of law principles. Venue for any dispute arising hereunder shall lie in the appropriate state or federal court serving that jurisdiction.

Entire Agreement

This Agreement, including attachments and any change orders executed in writing by both parties, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations, or agreements, whether written or oral. No modification to this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.

All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party designates by written notice.
