Sealcoating Agreement

This Sealcoating Agreement (the Agreement) is entered into effective as of (Effective Date), by and between:

Recitals

WHEREAS, Contractor is duly licensed and experienced in the provision of sealcoating, surface preparation, crack repair, and related pavement maintenance services; and

WHEREAS, Client is the owner or authorized agent of the property located at (Property) and desires to contract with Contractor to perform sealcoating services as set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the Work (as defined below) in this Agreement.

Scope of Work

Contractor shall furnish all labor, materials, equipment, supervision and services necessary to perform the sealcoating and associated preparatory and finishing work (Work) at the Property. Specific tasks include, but are not limited to: cleaning and removal of loose material, crack routing and filling, oil spot treatment, application of primer and sealcoat, aggregate broadcast (if specified), striping or marking (if specified), and final cleanup. The parties acknowledge that surface preparation is essential to performance and warranty of the Work.

Payment Terms

The total contract price for the Work is $ (Contract Price). Payment shall be made in accordance with the following terms:

Late payments shall incur a late fee of % per month on the delinquent balance, commencing after a grace period of days from the invoice due date. Contractor may suspend Work for nonpayment after providing written notice as set forth in this Agreement.

Term; Commencement; Termination

This Agreement shall commence on the Effective Date and the parties anticipate Commencement of Work on or about . Estimated completion date is . Time is of the essence only to the extent expressly stated in this Agreement.

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within days after written notice. Additionally, either party may terminate for convenience upon days' prior written notice, subject to payment for Work performed through the termination date and reasonable demobilization costs.

Change Orders

All changes to the Scope of Work, including additional services, materials, or alterations, shall be authorized only by a written Change Order executed by both parties. Change Orders shall include a description of the change, the price adjustment (if any), and any extension to the schedule.

Warranty; Inspection

Contractor warrants that materials supplied and Work performed shall be free from defects in workmanship and materials for a period of months from completion, except for normal wear and damage caused by misuse, settlement, or other events beyond Contractor's control. Warranty remedies are limited to repair or replacement of defective Work at Contractor's option. No other warranties, express or implied, are made including any implied warranty of merchantability or fitness for a particular purpose.

Insurance; Indemnity

Contractor shall maintain general liability and workers' compensation insurance in commercially reasonable amounts and shall provide certificates evidencing such coverage upon request. Contractor agrees to indemnify, defend and hold harmless Client from and against claims, liabilities, damages and expenses arising out of Contractor's negligence or willful misconduct in performing the Work, except to the extent caused by Client's negligence.

Confidentiality

Each party shall keep confidential all non-public business information and specifications disclosed by the other party in connection with the Work, and shall not disclose such information to any third party except as required by law or as necessary to perform the Work. This obligation survives termination of this Agreement for a period of two (2) years.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict of laws principles. The parties shall attempt in good faith to resolve disputes promptly by negotiation. If a dispute cannot be resolved by negotiation, the parties may pursue any remedy available at law or in equity.

Entire Agreement

This Agreement, together with any executed Change Orders, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings and agreements, whether written or oral. No modification or waiver of any provision hereof shall be effective unless in writing and signed by both parties.

Miscellaneous

If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. The parties acknowledge that Contractor is an independent contractor and not an employee or agent of Client. Headings are for convenience only and shall not affect interpretation.
