SEASON TICKET PURCHASE AGREEMENT

This Season Ticket Purchase Agreement ("Agreement") is entered into as of by and between Ticket Provider: , whose principal place of business is , and Purchaser: , with mailing address .

WHEREAS

WHEREAS, Provider operates and sells season tickets for the season identified below and related ancillary services; and

WHEREAS, Purchaser desires to purchase and Provider agrees to sell season tickets and related benefits on the terms and conditions set forth in this Agreement.

WHEREAS, the parties intend for this Agreement to set forth their entire understanding with respect to the purchase and use of the season tickets.

SCOPE OF TICKETS AND SERVICES

The services described in the Scope include, without limitation, admission for each listed event of the season, access to designated seating, and any ancillary benefits expressly identified in this Agreement such as parking, hospitality, or merchandise credits. Any service not expressly included must be documented in the Scope of Tickets and Services to be binding.

PAYMENT TERMS

Purchaser shall pay Provider the total purchase price for the season tickets and any included services in accordance with the schedule below. All amounts are in U.S. dollars unless otherwise stated.

Late payments shall incur a late fee of on the outstanding balance, calculated monthly, and reasonable collection costs. Acceptance of a late payment does not waive Provider's right to pursue any remedies available under this Agreement or at law.

REFUND, TRANSFER & CANCELLATION

Tickets are subject to the following refund and transfer policy. Refunds will only be issued in accordance with the terms below and applicable event cancellation policies.

Transfer of tickets to third parties is . If transfers are permitted, any transfer fee or required notice shall be as set forth in the Scope of Tickets and Services.

TERM AND TERMINATION

This Agreement shall commence on and continue until , unless earlier terminated as provided herein.

Either party may terminate this Agreement for material breach by the other party if such breach is not cured within days after written notice. Provider may also terminate immediately if Purchaser fails to make a required payment when due.

CONFIDENTIALITY

Each party shall keep confidential all non-public business and financial information disclosed by the other party in connection with this Agreement, including but not limited to pricing, seat allocations, and purchaser lists ("Confidential Information"). Confidential Information shall not include information that: (a) is or becomes generally available to the public through no fault of the receiving party; (b) was known to the receiving party prior to disclosure by the disclosing party; or (c) is required to be disclosed by law, provided the receiving party gives prompt written notice to the disclosing party and cooperates in seeking protective orders.

The receiving party shall use Confidential Information solely to perform its obligations under this Agreement and shall restrict disclosure to employees and agents who have a need to know and who are bound by confidentiality obligations at least as protective as those herein.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, including the Scope of Tickets and Services and any written attachments signed by the parties, constitutes the entire agreement between Provider and Purchaser regarding the subject matter hereof and supersedes all prior or contemporaneous negotiations, agreements, and understandings, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

MISCELLANEOUS

Neither party may assign this Agreement without the prior written consent of the other, except that Provider may assign its rights to an affiliated entity or in connection with a sale of substantially all of its assets. The invalidity or unenforceability of any provision shall not affect the remainder of this Agreement.
