SEASONAL BUSINESS AGREEMENT

This Seasonal Business Agreement ("Agreement") is made and entered into as of Effective Date: by and between:

WHEREAS

WHEREAS, Client operates seasonal business operations and desires to engage Provider to perform specified seasonal services for a defined seasonal period; and

WHEREAS, Provider represents that it has the skills, personnel, equipment, and licenses necessary to perform the seasonal services described herein and is willing to provide such services on the terms and conditions set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein, the parties agree as follows:

1. Scope of Work

Provider shall perform the services in a professional and workmanlike manner in accordance with industry standards and within the seasonal schedule agreed by the parties. Any change in the scope shall be documented in writing and signed by authorized representatives.

2. Payment Terms

Late payments shall bear interest at a rate of per month (or the maximum permitted by law, if less). Provider may suspend services for nonpayment if Client fails to cure payment defaults within days following written notice.

3. Term and Termination

Either party may terminate this Agreement for convenience upon providing written notice at least days prior to the intended termination date. Either party may terminate for material breach if such breach remains uncured for a period of thirty (30) days after receipt of written notice specifying the breach.

4. Confidentiality

Each party shall treat as confidential and not disclose to third parties any non-public information disclosed by the other party in connection with this Agreement, including business plans, pricing, customer lists, and trade secrets ("Confidential Information"), except as required by law. Confidential Information excludes information that (a) is or becomes generally available to the public other than by breach of this Agreement, (b) was rightfully known to the receiving party prior to disclosure, or (c) is independently developed without use of the disclosing party's Confidential Information.

The obligations in this section shall survive termination of this Agreement for a period of years.

5. Notices

Notices shall be in writing and deemed delivered when delivered in person, by nationally recognized overnight courier, or three (3) days after deposit in the United States mail, postage prepaid, to the addresses set forth above or such other address as a party may designate in writing.

6. Indemnification and Insurance

Each party shall indemnify, defend and hold harmless the other party and its officers, directors and employees from and against any liabilities, losses, damages, claims or expenses (including reasonable attorneys' fees) arising out of the indemnifying party's breach of this Agreement, gross negligence or willful misconduct. Provider shall maintain during the Term commercial general liability insurance with limits appropriate to the Services.

7. Governing Law; Entire Agreement

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of laws principles.

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether oral or written. Any amendment or modification must be in writing and signed by authorized representatives of both parties.

8. Miscellaneous

Neither party may assign its rights or delegate its obligations under this Agreement without the prior written consent of the other party, except that Client may assign this Agreement in connection with a sale of substantially all of its assets. The parties are independent contractors and nothing in this Agreement creates an employment, partnership or joint venture relationship.
