Supplier shall manufacture, pack, and deliver the products described below in accordance with the specifications, quantities and delivery schedule set forth in this Order. Buyer acknowledges that all items are subject to the terms, minimums, lead times and seasonal availability stated herein.

Payment Terms

Buyer agrees to pay Supplier the Total amount specified above in accordance with the following payment schedule. Unless otherwise agreed in writing, Buyer shall pay a deposit equal to the Deposit Amount upon execution of this Order, with the remaining balance due in accordance with the schedule below. Payment shall be made in United States dollars and by the method agreed between the parties.

Late payments shall accrue interest at the lesser of (a) per month or (b) the maximum rate permitted by applicable law, plus a one-time late fee of .

Delivery and Term

Delivery shall be made FOB Supplier's facility unless otherwise agreed. Supplier will use commercially reasonable efforts to meet the delivery schedule set forth in this Order but is not liable for delays caused by acts of God, supplier shortages, transportation disruptions, or other events beyond Supplier's reasonable control.

Either party may terminate this Order for material breach that is not cured within the notice period above, or immediately for insolvency or liquidation of the other party. Termination does not relieve Buyer of the obligation to pay for goods delivered and services rendered prior to the effective date of termination.

Confidentiality

Each party shall treat as confidential and shall not disclose to any third party any pricing, product specifications, customer lists, business plans or other proprietary information received from the other party in connection with this Order, except as required by law. Confidential information shall be used solely for performance under this Order.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflicts of laws principles. The parties submit to the exclusive jurisdiction of the courts of that State for disputes arising under this Agreement.

Entire Agreement

This Seasonal Order Form and Agreement, including any schedules or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any modification must be in writing and signed by authorized representatives of both parties.
