Scope of Work

Payment Terms

Buyer shall pay Seller the Total Amount Due in U.S. dollars. Unless otherwise agreed in writing, the payment schedule for this seasonal order shall be as follows:

Late payments shall accrue interest at the rate of % per month, compounded monthly, commencing the day after the payment due date. In addition, Seller may assess an administrative late fee of $ for each delinquent invoice. Buyer is responsible for all collection costs, including reasonable attorneys' fees, incurred by Seller in enforcing payment.

Delivery, Packaging and Risk of Loss

Either party may terminate this order for material breach if the breaching party fails to cure such breach within days after written notice. Confidentiality

Each party acknowledges that during the term of this Order they may receive Confidential Information of the other party. "Confidential Information" includes pricing, product specifications, forecasts, customer lists, and other non-public business information. The receiving party shall: (a) not disclose Confidential Information except to its employees, agents, or subcontractors who need to know and who are bound by confidentiality obligations no less protective than those herein; (b) use Confidential Information solely for performance under this Order; and (c) take commercially reasonable measures to protect Confidential Information from unauthorized disclosure. Confidentiality obligations survive termination for a period of years.

Governing Law; Dispute Resolution

This Order shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. The parties agree to attempt in good faith to resolve disputes promptly by negotiation between executives. If unresolved within 30 days, disputes shall be resolved by binding arbitration conducted in the agreed jurisdiction, unless the parties expressly agree otherwise in writing.

Representations; Warranties; Limitation of Liability

Seller represents that products supplied under this Order will materially conform to the specifications provided and be free from defects in material and workmanship at the time of delivery. Buyer shall inspect products promptly and notify Seller in writing of any non-conformity within days of receipt. EXCEPT AS EXPRESSLY PROVIDED HEREIN, SELLER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL EITHER PARTY'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS ORDER EXCEED THE TOTAL AMOUNT PAID OR PAYABLE UNDER THIS ORDER, EXCEPT FOR LIABILITY ARISING FROM GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.

Entire Agreement

This Order, together with any exhibits or attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral or written negotiations, representations, or agreements. Any amendment or waiver must be in writing and signed by authorized representatives of both parties.

Notices

Notices shall be in writing and delivered to the contacts and addresses set forth above or to such other address as a party designates in writing. Notice is effective upon personal delivery, confirmed electronic transmission, or three (3) business days after deposit with a nationally recognized courier service.
