What the SEC Request Form Is and when it’s used

The SEC Request Form is a formal written request used to obtain documents, records, or regulatory guidance involving filings with the U.S. Securities and Exchange Commission or related corporate disclosures. Organizations and individuals use the form to request copies of submitted reports, seek confidential treatment determinations, or ask for Staff guidance on procedural matters. Proper completion ensures the SEC or a designated records custodian can locate responsive materials, confirm authority to request them, and meet applicable processing or confidentiality procedures under federal securities rules.

Why accuracy matters when preparing an SEC Request Form

A correctly prepared SEC Request Form speeds processing, reduces follow-up requests, and supports any claim of confidentiality or privilege. Clear identification of the requester, the records sought, and the legal basis for access helps SEC staff or custodians evaluate the request efficiently and limits the risk of denial or delayed response.

Why accuracy matters when preparing an SEC Request Form

Typical requesters and roles that complete the form

The SEC Request Form is most commonly completed by corporate counsel, compliance officers, registered broker-dealers, investor relations staff, and third-party records managers.

  • Corporate counsel and compliance teams handling disclosure, confidential treatment, or interpretations of filings.
  • Registered broker-dealers and investment advisers requesting account or transaction records from custodians.
  • Third-party vendors, records custodians or outside counsel acting under written authorization from the records owner.

Ensure the signer listed on the form has documented authority to request records and include any written authorization or power of attorney as an attachment when applicable.

Core components of a complete SEC Request Form

A professional SEC Request Form organizes identifying information, specific record descriptors, authority evidence, preferred delivery method, confidentiality requests, and signer attestations. Each component should be precise to minimize processing delays and to establish chain-of-custody for sensitive material.

Requester ID

Full legal name, organization, business address, and contact details used to verify authority and to return requested records.

Records Description

Concise but specific date ranges, document types, filer names, and submission identifiers to allow accurate retrieval.

Legal Basis

Statutory or regulatory basis for access and any citation of confidential treatment requests or exemptions claimed.

Authorization

Written proof of authority (signed letter, POA, corporate resolution) if the requester is not the record owner.

Delivery Preference

Specify electronic delivery format (PDF, certified copy), mailing address, or secure portal instructions to avoid misrouting.

Signature Block

Printed name, title, signature, and date plus any notarization or witness attestations required by the custodian.

Step-by-step: completing an SEC Request Form

Follow these steps in order to prepare a precise, verifiable request that custodians can process without additional clarification.

  • 02
Specify records: Define types, date ranges, and custodial locations.
  • 03
Attach authority: Include POA or a signed authorization when applicable.
  • 04
Sign and choose delivery: Sign, date, and select secure electronic or physical delivery.

Configuring an online SEC request workflow

If you submit the SEC Request Form via an electronic platform, configure workflow fields and access controls for secure, auditable routing.

Field Configuration
Requester Authentication Email verification or enterprise SSO; consider two-factor for sensitive requests

Access Controls Role-based access with view/download restrictions and audit logging
Notifications Automated recipient and custodian alerts with delivery confirmations

Where to send the completed SEC Request Form

Route the completed form to the appropriate custodial office, SEC division, or designated records portal depending on the records sought.

  • Internal Custodian: Send to the company records or legal department when requesting internal filing copies
  • SEC FOIA/Records Office: Submit to the SEC’s records or FOIA team for agency-held documents
  • Third-Party Custodian: Deliver to transfer agent, transfer clearinghouse, or document management vendor if they hold the records
  • Secure Portal: Upload via a secured documents portal with encrypted transmission and access logging

Electronic submission and technical requirements

Ensure any platform used for eSubmission supports secure transport, file integrity, and an audit trail for the request.

  • File Formats: PDF, PDF/A, DOCX accepted; prefer non-editable PDF for records
  • Security: TLS 1.2/1.3 in transit and AES-256 at rest required
  • Integrations: Support for SSO, email, and cloud storage (Salesforce, Google Workspace, Box)

Maintain a copy of the submitted form and system audit logs to demonstrate delivery, receipt, and any platform-level access controls used during transmission.

Timing expectations and processing windows

Processing times vary by custodian and request complexity; submitters should expect initial acknowledgement and an estimated completion timeframe.

Acknowledgement:

Most custodians acknowledge receipt within 1–5 business days

Standard Fulfillment:

Simple record requests often complete in 5–15 business days

Complex Searches:

Common preparation mistakes to avoid

  • Vague descriptions of records that force broad, time-consuming searches and clarifying requests.
  • Missing proof of authority or signed authorization when a third party requests records on another’s behalf.
  • Incorrect or incomplete identifiers such as wrong CIK, accession numbers, or filing dates.
  • No delivery preference specified, causing mismatches in format or delivery address and delays.

Risks and potential consequences of an incomplete or improper request

Delayed Access: Incomplete information can postpone retrieval and extend processing timelines
Denial: Requests lacking authority or proper legal basis can be denied by custodians
Confidentiality Loss: Failure to assert confidentiality properly can waive protections for sensitive data
Compliance Exposure: Improper handling of nonpublic information may trigger regulatory review
Cost Increases: Extensive searches and expedited processing often carry additional fees
Litigation Risk: Poorly documented chain-of-custody may weaken positions in disputes or litigation
