SECOND SHOOTER AGREEMENT

This Second Shooter Agreement ("Agreement") is made effective as of between Primary Photographer: , with business address , and Second Shooter: , with address .

RECITALS

WHEREAS, Primary Photographer is retained by clients to provide photography services and requires additional photographic assistance for certain assignments; and

WHEREAS, Second Shooter represents that they possess the necessary skill, equipment and licenses to perform photographic services and is willing to provide such services on the terms set forth herein; and

WHEREAS, the parties wish to set forth the terms and conditions under which the Second Shooter will perform services for engagements assigned by Primary Photographer.

NOW, THEREFORE, in consideration of the mutual promises contained herein, the parties agree as follows:

1. ENGAGEMENT AND SCOPE OF SERVICES

1.1 Engagement. Primary Photographer hereby engages Second Shooter, and Second Shooter accepts engagement, to perform photographic services as a second shooter for assignments specified by Primary Photographer, subject to the terms of this Agreement.

2. TERM AND SCHEDULE

2.1 Term. This Agreement shall commence on the effective date and remain in effect for the duration of each assigned engagement unless earlier terminated in accordance with Section 11.

3. COMPENSATION AND PAYMENT

3.1 Fee. Primary Photographer shall pay Second Shooter a fee equal to $ per assignment unless otherwise agreed in writing.

3.2 Payment Terms. Payment will be made within days following submission of an invoice. If expenses are reimbursable, receipts must be provided and reimbursement shall be paid within the same payment period.

4. INDEPENDENT CONTRACTOR

4.1 Relationship. Second Shooter is an independent contractor. Nothing in this Agreement creates an employer-employee, partnership, joint venture or agency relationship, and Second Shooter is not authorized to bind Primary Photographer.

4.2 Taxes and Benefits. Second Shooter is solely responsible for all taxes, withholdings and other statutory obligations relating to compensation received under this Agreement.

5. EQUIPMENT AND EXPENSES

5.1 Equipment. Unless otherwise agreed in writing, Second Shooter will supply their own camera equipment, lenses, lighting and accessories. Primary Photographer may provide additional gear at its discretion.

5.2 Loss or Damage. Second Shooter is responsible for maintenance and insurance of their own equipment. Parties will cooperate in reasonable mitigation if gear provided by Primary Photographer is damaged.

6. CONFIDENTIALITY

6.1 Confidential Information. Second Shooter shall not disclose or use confidential information of Primary Photographer or of clients, including client lists, pricing, unpublished images and proprietary workflows, except as required to perform Services.

6.2 Survival. The obligations of confidentiality under this Section shall survive termination of this Agreement for a period of three (3) years.

7. OWNERSHIP, COPYRIGHT AND USAGE

7.1 Works Made for Hire. All photographs and original works produced by Second Shooter under this Agreement shall be considered works made for hire and shall be the exclusive property of Primary Photographer. To the extent any rights vest in Second Shooter, Second Shooter hereby assigns and transfers all right, title and interest to Primary Photographer.

7.2 Portfolio Use. Subject to the confidentiality and client restrictions set forth herein, Primary Photographer grants Second Shooter a limited, non-exclusive, non-transferable license to display low-resolution, non-client-identifying images for Second Shooter's portfolio and self-promotion, provided such use does not conflict with Primary Photographer's exclusive licensing to clients.

8. CLIENT RELATIONS AND RELEASES

8.1 Client Direction. Second Shooter shall comply with reasonable directions of Primary Photographer and shall maintain professional conduct with clients and subjects. Second Shooter shall not alter client agreements or provide promises on behalf of Primary Photographer.

8.2 Model Releases. Primary Photographer shall secure any necessary model, property or location releases. Second Shooter shall assist in obtaining releases as requested but is not responsible for release procurement unless expressly agreed.

9. INSURANCE

9.1 Insurance. Second Shooter shall maintain adequate liability insurance covering their services and, upon request, provide certificates of insurance naming Primary Photographer as additional insured where required by the assignment.

10. INDEMNIFICATION

10.1 Indemnity by Second Shooter. Second Shooter shall indemnify, defend and hold harmless Primary Photographer from and against any claims, losses, liabilities, damages and expenses (including reasonable attorneys' fees) arising out of Second Shooter's breach of this Agreement, negligent acts or willful misconduct.

10.2 Indemnity by Primary Photographer. Primary Photographer shall indemnify Second Shooter for claims arising from the negligence or willful misconduct of Primary Photographer or the client's instructions contrary to law.

11. CANCELLATION AND RESCHEDULING

11.1 Cancellation. If Primary Photographer cancels a scheduled assignment less than days prior to the assignment, Primary Photographer shall be liable for a cancellation fee equal to $.

11.2 Rescheduling. Parties will make reasonable efforts to reschedule cancelled assignments. Rescheduling shall be subject to availability and mutual agreement.

12. NOTICES

12.1 Delivery. All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth above or to such other address as a party may designate in writing, by certified mail, hand delivery, or other commercially reasonable means, and shall be effective upon receipt.

13. AMENDMENTS, WAIVER, COUNTERPARTS

13.1 Amendments. This Agreement may be amended only by a written instrument signed by both parties.

13.2 Waiver. Failure to enforce any provision shall not constitute a waiver of future enforcement of that or any other provision.

13.3 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one instrument.

14. GOVERNING LAW, ENTIRE AGREEMENT, SEVERABILITY

14.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the state identified below without regard to conflict of laws principles.

14.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior agreements, understandings and communications, oral or written.

14.3 Severability. If any provision of this Agreement is found invalid or unenforceable, the remainder of the Agreement shall remain in full force and effect.
