What the Securities Loan Agreement Template Is

A Securities Loan Agreement Template is a standardized legal contract that documents the temporary transfer of securities from a lender (the owner or custodian) to a borrower in exchange for collateral, fees, and agreed return terms. The template defines the securities description, collateral type and valuation, margin maintenance, loan term, events of default, indemnities, and procedures for settlement and return. It provides a repeatable structure for broker-dealers, institutional investors, and custodial banks to manage risk and operational steps while preserving evidence of parties' rights and obligations.

Why a Standard Template Matters

A clear template reduces negotiation time, enforces consistent collateral and margin mechanics, and helps document transfer and return processes that protect both lender and borrower. Where executed electronically the agreement meets the ESIGN Act (15 U.S.C. ch. 96) and state UETA rules when signatures, consent, and retention meet legal tests.

Why a Standard Template Matters

Step-by-Step: Completing the Template

Follow this sequence to prepare, review, and finalize a securities loan agreement with operational clarity.

  • 01
Prepare Draft: Populate parties, securities, collateral, and fees.
  • 02
Internal Review: Compliance and trading desk review contractual and regulatory terms.
  • 03
Signatures: Collect signatures and authentication from all authorized signers.
  • 04
Record and Deliver: Store executed copies and deliver to custodian and settlement desk.

Who Typically Uses This Template

Tailor the template to reflect your firm’s operational workflows, approval chains, and regulatory compliance needs.

  • Broker-dealers and securities lending desks managing inventory and collateral protocols.
  • Institutional investors and asset managers documenting outbound lending arrangements.
  • Custodial banks and prime brokers overseeing settlement and margin operations.

Who Signs and Approves

Custody Officer

The custody officer or operations manager typically verifies the securities description, confirms collateral eligibility with the custodian, and signs for the lender. Their role ensures proper routing to settlement and helps resolve mismatches before settlement fails occur.

Authorized Signatory

An executive or compliance-authorized signatory signs on behalf of the borrower, attesting to financing terms and capacity. This signer is legally responsible for performance and must be documented in corporate authorization records.

Essential Agreement Sections to Include

A professional Securities Loan Agreement Template should clearly allocate rights and obligations, specify operational steps, and include dispute and termination mechanics.

Parties

Full legal names, addresses, and representative contacts for lender and borrower. Include intermediary or agent roles when custody is delegated.

Loaned Securities

Detailed securities identification (CUSIP/ISIN), quantity, class, and any transfer restrictions or corporate event handling instructions.

Collateral Terms

Permitted collateral types, initial margin percentage, revaluation schedule, haircuts, acceptable concentration limits, and substitution mechanics.

Fees and Payments

Fee calculation method (rate or fixed), payment frequency, payment agent details, and late payment consequences.

Events of Default

Triggering events, notice procedures, remedies, close-out netting, and rights to liquidate collateral.

Governing Law

Specify governing jurisdiction and dispute resolution (court or arbitration). Include choice-of-law language to reduce forum uncertainty.

Common Pitfalls to Avoid

  • Insufficient securities detail: omitting CUSIP or class frequently causes settlement fails and operational disputes that delay return and increase market risk.
  • Unclear collateral valuation: failing to state valuation dates, haircuts, or revaluation frequency leads to mismatched margin calls and contested liquidations.
  • Signature and authority gaps: lack of documented signatory authority or inconsistent names on corporate records can render the agreement unenforceable in dispute.
  • Missing return mechanics: not defining recall procedures or failed delivery remedies causes ambiguity around obligations and potential market losses.

Key Legal and Financial Risks

Contract Damages: Monetary compensatory remedies
Market Risk: Price movement during loan period
Custody Loss: Failure to return securities
Regulatory Fines: Broker-dealer compliance penalties
Tax Consequences: Incorrect reporting of income
Reputational: Counterparty trust impairment

Operational Flow: How the Agreement Is Executed

This simplified workflow shows typical operational handoffs from agreement creation to settlement and return.

  • Post Collateral: Borrower posts agreed collateral.
  • Deliver Securities: Custodian processes delivery to borrower.
  • Return and Reconcile: Securities returned and accounts reconciled.

Practical Tips to Reduce Risk and Speed Execution

Apply these best practices to improve clarity, limit disputes, and streamline operational processing.

Use clear securities identifiers
Include CUSIP and ISIN where available, and state class and quantity explicitly to prevent settlement mismatches and failed deliveries.
Define valuation mechanics
Specify revaluation timing, calculation method, and acceptable haircuts to avoid contested margin calls and unexpected liquidation actions.
Document signatory authority
Attach corporate resolutions or power-of-attorney documents if signers are not officers; this prevents enforceability challenges during disputes.
Standardize operational exhibits
Include settlement instructions, custodian contacts, and reconciliation procedures as exhibits so operations teams can act without interpretive delay.
