What a Securities Purchase Agreement and Warrants Is

A Securities Purchase Agreement and Warrants combines an agreement to sell and purchase equity or debt securities with attached warrant instruments granting the purchaser the right to buy additional securities later at a set price. The agreement documents purchase price, closing conditions, representations and warranties, covenants, indemnities, and price adjustment or anti-dilution mechanics. Warrants set exercise price, vesting or expiration terms, transfer restrictions, and registration or resale limitations. Together these documents allocate economic rights, governance impacts, and post-closing obligations between issuer and investor, and are commonly used in private placements and venture financings.

Why this Document Matters for Issuers and Investors

A clear Securities Purchase Agreement and Warrants package defines purchase mechanics, protects both parties with specific representations and indemnities, and preserves investor upside through warrants. Well-drafted terms reduce closing friction and limit post-closing disputes.

Why this Document Matters for Issuers and Investors

Who Typically Prepares and Signs These Documents

This agreement suite is used by companies raising capital and investors acquiring securities; counsel often drafts tailored terms.

  • Founders and corporate executives evaluating financing terms and board impacts.
  • Angel investors, venture funds, and institutional purchasers protecting investment economics.
  • Company counsel and outside securities lawyers negotiating representations and closing conditions.

Each signer should confirm authority to bind the entity and follow internal approval and signature routing prior to execution.

Core Sections to Include in a Professional Package

  • Allowing signers lacking corporate authority to execute, which can render the agreement voidable or subject to ratification.

Risks and Consequences of Errors

Securities Liability: Regulatory scrutiny or rescission exposure
Tax Consequences: Incorrect reporting or withholding
Contract Voidability: Signatures lacking authority
Investor Disputes: Claims over valuation or dilution
Delay Costs: Missed funding or opportunity loss
Compliance Breach: Failure to file necessary notices
