What a Securities Retainer Agreement Covers

A Securities Retainer Agreement is a contract that formalizes the relationship between a client and an advisor, attorney, or broker engaged for securities-related matters. It specifies the scope of services—such as transaction advice, regulatory compliance, litigation support, or ongoing counsel—along with billing structure, deposit or retainer treatment, handling of client securities or cash, and termination terms. The agreement clarifies whether the retainer is refundable, how fees are drawn, and any conditions for using securities as collateral or payment. It helps manage expectations and reduces disputes about fees and responsibilities.

Why a Clear Retainer Agreement Matters

A written Securities Retainer Agreement reduces ambiguity about fees, asset custody, and the advisor’s duties, improving client protection and professional compliance.

Why a Clear Retainer Agreement Matters

Who Typically Uses This Agreement

This agreement is used by professionals and clients involved in securities work where advance fees, asset handling, or regulatory tasks are expected.

  • Investment advisers and broker-dealers engaging clients for trade execution, portfolio management, or transactional advice.
  • Law firms representing clients in securities litigation, SEC investigations, registration filings, or transactional negotiations.
  • Individual and institutional clients who provide cash or securities as an advance retainer or collateral for professional services.

Tailor the form to the role (legal counsel, investment adviser, broker) and the type of securities activity to ensure relevant protections and disclosures.

Step-by-Step: Completing a Securities Retainer Agreement

Follow these core steps to ensure the agreement is complete, enforceable, and aligned with regulatory needs.

Prepare Parties: Enter complete legal names and contact details for each party.

  • 03
Specify Retainer: State amount, form (cash or securities), valuation, and handling instructions.
  • 04

Illustrative Use Cases

These case summaries show how the agreement adapts to common practical scenarios.

Law Firm Representation

A client supplies listed shares as a retainer

  • Agreement specifies sale only with client consent
  • The firm documents valuation, holds shares in a segregated account, and issues monthly reconciliations to avoid disputes and meet trust accounting rules.

Adviser Transaction Work

An adviser receives a cash retainer for ongoing securities trading advice

  • The agreement sets fee drawdown procedures
  • The adviser provides quarterly statements, requires top-up when retainer falls below a threshold, and documents trading authority limits.

Practical Tips for Accurate Completion

Apply consistent controls and clear language to reduce risk and simplify ongoing administration.

Use Precise Valuation Rules
Define market prices and valuation dates to avoid disputes when converting securities to cash for fee payments, including treatment of thinly traded instruments.
Separate Custody Instructions
Provide explicit custody and transfer instructions, identify the holding account, and require counterparty confirmations for transfers.
Record All Authorizations
Keep copies of trading authorizations, client approvals for liquidation, and written communications supporting fee draws and reconciliations.
Match Signatures to Accounts
Ensure signer authority matches account records; require corporate resolutions or power-of-attorney for entities to prevent invalid transfers.
