What the Securities Transfer Agent Agreement Is

A Securities Transfer Agent Agreement is a formal contract between a securities issuer (or its transfer agent) and a third-party transfer agent setting out duties, authority, and procedures for processing ownership changes, maintaining shareholder ledgers, delivering certificates or electronic holdings, and handling corporate actions. The agreement defines responsibilities for recording transfers, issuing and canceling certificates, paying dividends, providing reports to the issuer and regulators, and complying with applicable securities laws and transfer-agent rules. It also describes fees, indemnities, confidentiality, record retention, audit rights, and termination conditions to protect issuer and shareholder interests.

Why a Clear Agreement Matters

A well-drafted Securities Transfer Agent Agreement clarifies operational responsibilities, limits liability, ensures regulatory compliance, and reduces delays in ownership transfers and corporate actions.

Why a Clear Agreement Matters

Who Typically Prepares and Signs This Agreement

Primary users include corporate legal and compliance teams, issuer finance departments, transfer agent operations staff, and external counsel who manage securities processing and regulatory obligations.

  • Issuers and Corporate Counsel responsible for oversight and regulatory compliance.
  • Transfer Agent Operations teams that perform recordkeeping, transfers, and distributions.
  • Registered Transfer Agents and service providers that execute the day-to-day transfer functions.

Secondary participants can include investor relations, external auditors, and broker-dealers who rely on the agent’s accuracy and timeliness for market-facing actions and reporting.

Typical Signatories and Their Roles

Issuer Chief Legal Officer

Signs on behalf of the issuer and accepts responsibility for supervising the transfer agent relationship; typically approves indemnity, confidentiality, and governing law provisions and coordinates regulatory reporting requirements.

Transfer Agent Executive

Signs for the transfer agent and warrants operational capabilities, compliance with SEC and FINRA rules where applicable, and acceptance of defined service levels, security controls, and record retention obligations.

Core Elements to Include in the Agreement

Cover the practical, legal, and operational elements clearly so both parties understand authority, obligations, and the information flow required to complete transfers and corporate actions.

Service Levels

Specify processing times, turnaround metrics, escalation paths, and remedies for missed SLAs.

Fees and Billing

Describe fee schedules, invoicing intervals, expense recovery, and adjustments for volume or special services.

Security and Compliance

List required security controls, privacy protections, and compliance obligations (SEC, FINRA, HIPAA where applicable).

Records and Reporting

State ledger maintenance, reporting cadence, audit access, and formats for regulatory filings.

Termination & Indemnity

Include termination triggers, transition assistance, liability caps, and indemnity responsibilities.
