Term and Termination

The term of this Agreement begins on Start Date: and ends on End Date: , unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for material breach if the breaching party fails to cure within the notice period set forth above. Termination does not relieve Client of obligations to pay for work performed or materials provided prior to termination, nor does it relieve Provider of obligations to safeguard Confidential Information disclosed during the term.

Confidentiality

All non-public information disclosed during the briefing (including but not limited to internal procedures, vulnerability assessments, diagrams, credentials, and any physical or electronic materials) is Confidential Information. Recipient shall (a) not disclose Confidential Information to any third party except as expressly permitted by Provider in writing; (b) use Confidential Information solely for the purpose of evaluating or implementing the security measures described in this Agreement; and (c) protect Confidential Information using at least the same degree of care as Recipient uses to protect its own confidential information, but no less than a reasonable standard of care.

The obligations of confidentiality survive termination of this Agreement for a period of three (3) years from the date of disclosure, unless a longer period is required by applicable law. Disclosure required by law or regulation is permitted only after Recipient provides prompt written notice to Provider and, where lawful and practicable, cooperates with Provider to seek confidential treatment or protective order.

Representations and Warranties

Each party represents that it has full power and authority to enter into this Agreement and to perform its obligations hereunder. Provider warrants that any recommendations or demonstrations will be carried out in a professional manner consistent with industry standards; however, Provider does not warrant that such measures will prevent all security incidents.

Liability and Indemnification

To the maximum extent permitted by law, Provider's liability for claims arising out of this Agreement shall be limited to direct damages not exceeding the total fees paid by Client for the services described herein. Each party shall indemnify and hold harmless the other from third-party claims arising from the indemnifying party's gross negligence or willful misconduct in connection with this Agreement.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to its conflict of law principles. Venue for any dispute arising under this Agreement shall lie exclusively in the courts located within that jurisdiction.

Entire Agreement

This Agreement, together with any exhibits or attachments executed by the parties, constitutes the entire agreement between Client and Provider with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral.

Acknowledgment and Certifications
