SECURITY CAMERA INSTALLATION AGREEMENT

Parties and Recitals

WHEREAS, Client desires the procurement and installation of video surveillance equipment and associated services at the location identified in this Agreement; and

WHEREAS, Installer is qualified, licensed, and experienced in the installation of security camera systems and is willing to perform such services pursuant to the terms and conditions set forth herein;

NOW, THEREFORE, in consideration of the mutual covenants and agreements set forth below, the parties agree as follows.

Late Payment: Unpaid amounts shall accrue interest at on the outstanding balance, or the maximum rate permitted by law, whichever is lower. Client shall also be responsible for reasonable collection costs and attorney fees incurred to collect overdue amounts.

Either party may terminate this Agreement for convenience upon days' prior written notice. Either party may terminate immediately for material breach by the other party if such breach remains uncured for a period of thirty (30) days after delivery of written notice specifying the breach. Termination does not relieve Client of obligation to pay for work performed and materials procured through the effective date of termination.

Permits, Compliance and Access

Installer shall obtain all permits and approvals required for the installation unless otherwise agreed in writing. Installer shall perform all work in compliance with applicable building codes and regulations. Client shall grant Installer reasonable access to the premises and provide electricity and safe working conditions. Installer is not responsible for concealed conditions or pre-existing defects that could affect installation; uncovered conditions will be documented and quoted as change orders.

Warranty; Inspection and Acceptance

Installer warrants that the installation services will be performed in a workmanlike manner for a period of months from completion. Manufacturer warranties apply to equipment and are separate from Installer's workmanship warranty. Warranty is void for defects caused by misuse, alteration, or unauthorized repair. Client shall inspect the system within ten (10) days of installation and notify Installer in writing of any deficiencies; failure to provide timely notice constitutes acceptance.

Maintenance and Service

Confidentiality

Each party shall keep confidential and not disclose to third parties any non-public information obtained from the other party in connection with this Agreement, including system passwords, network configurations, and security footage, except as required by law or with prior written consent. Confidential information does not include information that is publicly available or independently developed without use of the other party's confidential information. Obligations of confidentiality survive termination for a period of three (3) years.

Insurance, Indemnity and Limitation of Liability

Installer shall maintain general liability insurance and workers' compensation as required by law. To the fullest extent permitted by law, Installer shall indemnify and hold Client harmless from third-party claims arising from Installer's negligence in performing the installation. Client shall indemnify Installer for claims arising from Client's negligence or acts. Except for willful misconduct or gross negligence, neither party's aggregate liability for direct damages under this Agreement shall exceed the total contract price paid by Client. Neither party shall be liable for incidental, consequential, or punitive damages.

Change Orders

Any change in scope, equipment, or schedule shall be executed only by a written change order signed by both parties describing the change, price adjustment, and revised schedule. Installer shall not be required to perform additional work without an executed change order.

Governing Law; Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of . The parties shall attempt in good faith to resolve disputes through negotiation. If unresolved, disputes shall be resolved by binding arbitration or litigation as mutually agreed; each party retains the right to seek injunctive relief in a court of competent jurisdiction.

Entire Agreement

This Agreement, together with written change orders and any attached exhibits, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior proposals, negotiations, and representations. No amendment of this Agreement shall be effective unless in writing and signed by both parties.
