WHEREAS

WHEREAS, the Requesting Party requires that individuals granted access to specified facilities, systems, or information undergo a security clearance screening and background investigation to determine suitability for the requested access; and

WHEREAS, the Applicant desires to obtain such clearance and authorizes the Requesting Party or its authorized agent to collect, verify, and retain personal and background information as necessary to perform the clearance review; and

WHEREAS, the Parties intend that the clearance screening, any related services, payment obligations, confidentiality protections, and governing law be memorialized in this Security Clearance Form and Services Agreement.

Authorization and Consent

The Applicant understands that false or misleading statements, or material omissions, may constitute grounds for denial of clearance or termination of services.

Either Party may terminate this Agreement for material breach by the other Party if the breach remains uncured after the Notice Period set forth above. Termination does not relieve the Applicant of liability for outstanding fees or obligations incurred prior to termination.

All information obtained or produced in connection with the clearance process, including investigative reports, references, and results, shall be treated as confidential by the Requesting Party and the Applicant except as required by law or as reasonably necessary for adjudication and administration of the clearance. The Requesting Party may disclose such information to authorized personnel, adjudicators, or as required by statute, regulation, or valid legal process.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

Entire Agreement

This document constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations, and communications, whether written or oral.

Certification

The Applicant certifies under penalty of perjury that the information provided on this form is true, complete, and correct to the best of the Applicant's knowledge. The Applicant understands that willful falsification, omission, or concealment of material facts may result in denial of clearance, revocation of clearance, or other legal penalties.
