SECURITY DEPOSIT AGREEMENT

This Security Deposit Agreement (Agreement) is made effective as of by and between Landlord Name: ("Landlord") and Tenant Name: ("Tenant") concerning the premises located at (Premises).

RECITALS

WHEREAS, Landlord and Tenant are parties to a lease or rental agreement governing Tenant's occupancy of the Premises; and

WHEREAS, Tenant has delivered or will deliver to Landlord a security deposit to secure Tenant's performance under the Lease and to cover lawful damages, unpaid rent, cleaning and other permitted charges; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the security deposit.

NOW, THEREFORE, in consideration of the mutual promises contained herein and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, the parties agree as follows:

1. SECURITY DEPOSIT; RECEIPT

1.1 Deposit Amount. Tenant shall deliver to Landlord a security deposit in the amount of $ (Security Deposit) as consideration for this Agreement. Landlord acknowledges receipt of the Security Deposit as of .

2. PURPOSE AND SCOPE

2.1 Purpose. The Security Deposit shall secure Tenant's faithful performance of the Lease, including payment of rent and repair of damages to the Premises beyond normal wear and tear. Landlord may apply the Security Deposit to unpaid rent, repair of damage caused by Tenant or Tenant's guests, cleaning expenses necessary to return the Premises to the condition existing at commencement of tenancy (reasonable wear and tear excepted), and other items expressly permitted by this Agreement.

3. HOLDING, INTEREST, AND ACCOUNTING

3.1 Holding. The Security Deposit shall be held by Landlord in a separate deposit account and not commingled with Landlord's operating funds. Landlord shall maintain records of the deposit and all disbursements made therefrom.

3.2 Interest. This deposit shall bear interest during the term of tenancy. If interest is to be paid, the annual interest rate or calculation method shall be: . If local law requires treatment different from the terms of this Agreement, the parties agree to follow applicable law to the extent required.

4. DEDUCTIONS; ITEMIZATION; RETURN

4.1 Deductions. Landlord may deduct from the Security Deposit any amounts reasonably required to: (a) remedy Tenant defaults in the payment of rent; (b) repair damage to the Premises caused by Tenant or Tenant's invitees beyond normal wear and tear; (c) clean the Premises to return it to the same condition as at commencement of tenancy; and (d) satisfy other lawful charges under the Lease.

4.2 Itemized Statement and Return. Following Tenant's vacatur and the disposition of any charges against the Security Deposit, Landlord shall provide Tenant with an itemized statement of deductions and, if applicable, remit the remaining balance of the Security Deposit to Tenant within days. The parties may agree to a different period by written amendment to this Agreement.

5. MOVE-IN AND MOVE-OUT INSPECTIONS

5.1 Move-In Inspection. Tenant acknowledges receipt of a written move-in condition checklist prepared by Landlord, documenting the condition of the Premises at the commencement of tenancy. Tenant shall sign and return the checklist within any time period required by the Lease.

5.2 Pre-Move-Out Inspection. Tenant may request a pre-move-out inspection to identify possible deductions so that Tenant may remedy items in advance. Any such inspection shall be scheduled with reasonable notice.

6. REPAIRS; NORMAL WEAR AND TEAR

6.1 Repairs. Charges for repair or replacement of items damaged by Tenant beyond ordinary wear and tear shall be deducted from the Security Deposit. Routine maintenance and ordinary wear and tear shall not be charged to Tenant.

7. TRANSFER OF DEPOSIT

7.1 Transfer on Assignment. If Landlord transfers ownership of the Premises during the term of the Lease, Landlord may transfer the Security Deposit to the transferee and provide Tenant written notice of the transfer and the transferee's contact information.

8. REMEDIES; SETOFF

8.1 Remedies. The rights and remedies provided under this Agreement are cumulative and in addition to any other remedies available at law or in equity. Landlord may apply the Security Deposit toward any sums due and recover any deficiency from Tenant.

9. NOTICES

9.1 Notice Addresses. All notices required or permitted under this Agreement shall be in writing and delivered to the addresses set forth below or to such other address as either party designates by written notice to the other.

10. REFUND METHOD

11. DEFAULTS AND REMEDIES

12. MISCELLANEOUS

12.1 Governing Law. This Agreement shall be governed by and construed in accordance with the laws applicable to the location of the Premises.

12.2 Entire Agreement. This Agreement, together with the Lease, constitutes the entire agreement between the parties with respect to the Security Deposit and supersedes all prior understandings, agreements, or representations.

12.3 Severability. If any provision of this Agreement is held to be invalid, illegal or unenforceable in any respect, the validity, legality and enforceability of the remaining provisions shall not be affected or impaired.

12.4 Amendments; Waiver. Any amendment or modification of this Agreement must be in writing and signed by both parties. No waiver by either party shall be effective unless in writing.

12.5 Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original and all of which together shall constitute one and the same instrument.
