Security Lock Agreement

This Security Lock Agreement (the Agreement) is entered into as of by and between:

WHEREAS, Owner is the lawful owner or authorized manager of the premises and/or assets described herein and has the authority to secure such premises or assets by affixing or authorizing the installation of a security lock; and

WHEREAS, Licensee has been retained to supply, install, maintain, remove or otherwise manage a security lock and related access controls for the protection of Owner's property under the terms set forth in this Agreement; and

NOW, THEREFORE, in consideration of the mutual covenants contained in this Agreement and other good and valuable consideration, the parties agree as follows:

Scope of Work

Licensee shall perform the services described below. Services include provision, installation, inspection, maintenance, keying, and removal of security locks, and any ancillary measures expressly listed.

Term and Termination

Either party may terminate this Agreement for material breach by the other party if the breaching party fails to cure the breach within the notice period specified above following written notice specifying the nature of the breach.

Removal, Access and Liability

Licensee shall remove the lock upon Owner's written instruction or upon expiration/termination, subject to payment of all amounts due. Licensee retains the right to retain possession of keys or access devices until Owner pays outstanding sums specified in this Agreement. Licensee shall not be liable for loss of business, consequential damages, or third-party claims arising from Owner's failure to maintain insurance or to secure access where Licensee acted in compliance with this Agreement.

Owner agrees to indemnify, defend and hold harmless Licensee from and against all claims, liabilities and expenses (including reasonable attorneys' fees) arising out of Owner's failure to disclose material conditions of the premises or property that affect safe installation or removal of the lock.

Confidentiality

Each party shall keep confidential all non-public business and technical information received from the other party in connection with this Agreement, including keying schedules, access codes, and system diagrams. Confidential information shall not include information that is publicly known through no fault of the recipient or is rightfully received from a third party without breach of an obligation of confidentiality.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of , without regard to conflict of laws principles.

Entire Agreement; Amendment

This Agreement, together with any exhibits or written attachments signed by both parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals, representations and communications, whether written or oral. No amendment or modification shall be effective unless it is in writing and signed by authorized representatives of both parties.

Remedies; Costs

In the event of default by either party, the non-defaulting party shall be entitled to pursue all remedies available at law or in equity, including recovery of attorneys' fees and costs incurred in enforcing this Agreement, to the extent permitted by applicable law.

Acknowledgements

Owner acknowledges that Licensee may require a reasonable period to schedule removal or modification of locks and that Licensee may assess additional fees for emergency after-hours service or for access to locations with restricted entry.
