What the Security NBA Agreement Is and When It’s Used

A Security NBA Agreement is a legal contract that creates, documents, or clarifies a security interest tied to collateral while preserving specific negotiated terms as non-binding for other matters. It typically defines the secured obligations, collateral description, and parties' responsibilities. Organizations use this agreement to protect creditors' priority, describe remedies on default, and coordinate recording or perfection actions. The document can be executed electronically when parties consent and the transaction is not within statutory exceptions under federal or state e-signature law.

Why a Clear Security NBA Agreement Matters

A well-drafted Security NBA Agreement reduces disputes over collateral, preserves lien priority, and clarifies enforcement rights. It also helps ensure compliance with recording, perfection, and retention rules that affect enforceability and remedies in default.

Why a Clear Security NBA Agreement Matters

Typical Parties and Teams Involved

The Security NBA Agreement is commonly prepared and reviewed by legal counsel, lending officers, and contract managers before execution.

  • Lenders and creditors who require a recorded or perfected security interest to protect repayment rights.
  • Borrowers or grantors providing collateral, often finance or treasury contacts verifying descriptions and encumbrances.
  • In-house counsel or external attorneys who draft, review, and approve governing law and remedy provisions.

Final signatories usually include authorized officers with the authority to grant security interests and legal teams who certify accuracy.

Core Elements to Include in a Professional Security NBA Agreement

A complete agreement combines clear party identification, a precise collateral description, perfection steps, priority rules, default remedies, and governing law. Each element reduces ambiguity during enforcement or recording.

Parties

Identify the secured party and grantor using full legal names and entity types to avoid mistaken identity or filing errors.

Security Interest

Describe the security interest granted, including scope (all assets, accounts, inventory) and any excluded property or carve-outs.

Collateral Description

Provide a precise collateral list or supergeneric language that complies with UCC requirements for a financing statement.

Perfection Steps

State required steps to perfect the lien: filing a UCC-1, possession, control, or other jurisdictional requirements.

Default Remedies

Detail enforcement options, cure periods, acceleration rights, and sale procedures consistent with applicable law.

Governing Law

Name the state law that governs interpretation, including venue, choice-of-law clauses, and dispute resolution terms.

Essential Data Points to Include

Grantor Name: Full legal entity name
Secured Party: Full legal entity name
Effective Date: MM/DD/YYYY format
Collateral: Clear asset description
Consideration: Amount or exchange detail
Signature Block: Authorized signer name

Step-by-Step: Preparing and Executing the Agreement

Follow these sequential steps to prepare, sign, and perfect the security interest to reduce risk and preserve priority.

  • 01
Prepare Draft: Assemble parties and verify legal names and collateral.
  • 02
Review Terms: Legal reviews remedies, carve-outs, and governing law.
  • 03
Execute Signatures: All authorized signers sign and date the document.
  • 04
Perfect Interest: File UCC-1 or take possession/control as required.

Recommended Digital Workflow Settings for eSigning

Configure your digital workflow with authentication and routing that match the agreement's sensitivity and legal requirements.

Field Configuration
Signer Authentication Email plus SMS or knowledge-based authentication as needed
Signature Order Role-based sequential signing for lender then borrower
Attachment Requirements Require ID upload or supporting exhibits before completion
Audit Trail Enable IP, timestamp, and action logs for each signer

Digital Signing and File Compatibility

Use a platform that supports PDF and Word files, offers reliable audit trails, and meets applicable compliance requirements.

  • File Formats: PDF and DOCX are standard and recommended
  • Integrations: Works with CRM and cloud storage platforms
  • Authentication: Supports email, SMS, and advanced options

Ensure your chosen provider can export a tamper-evident signed PDF, retain an auditable certificate, and, for health data, support a BAA.

Typical eSigning Flow for a Security Agreement

A clear online flow reduces signer friction while preserving the record needed for enforcement and audit.

  • Upload Document: Sender uploads the finalized agreement to the signing platform
  • Place Fields: Add signature, initial, date, and attachment fields
  • Authenticate Signers: Use email/SMS or stronger identity checks
  • Complete and Archive: Signed PDF and audit trail are stored securely

Key Deadlines and Timing Considerations

Observe execution, perfection, and filing windows closely; delays can affect priority or lender remedies.

Execution Deadline:

Complete signatures by the contractual execution date

Perfection Window:

File financing statement promptly to preserve priority

Notarization Timing:

If notarization required, perform before recording or filing

Recording Lead Time:

Allow agency processing time for county/state filings

Retention Start Date:

Retention begins on execution or when effective obligations commence

Common Errors and Consequences to Avoid

Failed Recording: Loss of priority
Name Mismatch: UCC search failure
Incorrect TIN: Backup withholding risk
Incomplete Collateral: Enforceability challenge
Late Filing: Priority displaced
Unauthorized Signer: Contract may be voidable
