WHEREAS, Provider is duly engaged in the business of providing security personnel, monitoring services and related protective services; and

WHEREAS, Client desires to engage Provider to supply security services for the premises and/or event described in this Quote, and Provider is willing to provide such services upon the terms and conditions set forth herein;

WHEREAS, the parties intend this Security Service Quote to establish the scope, fees, schedule and other terms for the security services proposed below.

PAYMENT TERMS

Provider's compensation for services described in this Quote shall be the Total Quote Amount above, payable in accordance with the schedule set forth below. All sums are payable in lawful currency and are exclusive of any taxes unless otherwise stated.

Late payments shall bear interest at the lesser of 1.5% per month or the maximum rate permitted by law on any unpaid balance commencing ten (10) days after the invoice due date. Client shall be responsible for reasonable collection costs, including attorneys' fees, if payment is not received when due.

TERM AND TERMINATION

This Quote and any services performed pursuant to it shall commence on and shall continue until unless earlier terminated in accordance with this section.

Either party may terminate this engagement for convenience upon written notice to the other party delivered at least days prior to the effective termination date. Termination for cause may occur immediately upon written notice if the other party materially breaches its obligations and fails to cure within ten (10) days after receipt of written notice.

CONFIDENTIALITY

Each party acknowledges that in the performance of this Quote it may receive Confidential Information of the other party. "Confidential Information" means nonpublic information of a party that is designated as confidential or would reasonably be understood to be confidential. Each party agrees to use Confidential Information only for the purposes of performing this Quote and to protect such information with at least the degree of care it uses to protect its own confidential information, but in no event less than reasonable care. Confidential Information shall not include information that is or becomes publicly available without breach of this Quote, is rightfully received from a third party without restriction, or is independently developed without use of the disclosing party's Confidential Information.

INSURANCE, INDEMNITY & LIABILITY

Provider shall maintain insurance customary for security service providers, including commercial general liability and workers' compensation, and shall furnish certificates upon reasonable request. Each party shall indemnify and hold harmless the other from claims arising out of its negligence or willful misconduct. Provider's liability for damages arising under this Quote shall be limited to direct damages not to exceed the Total Quote Amount; in no event shall either party be liable for consequential, incidental or punitive damages.

GOVERNING LAW

This Quote shall be governed by and construed in accordance with the laws of the state of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Quote, together with any attachments expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendments must be in writing and signed by authorized representatives of both parties.

ACCEPTANCE
