What a Security Rates Agreement Is and when it’s used

A Security Rates Agreement is a formal contract that documents the interest rates, fee schedule, collateral description, and enforcement rights tied to a secured obligation. It clarifies how interest and default rates are calculated, identifies the collateral securing repayment, and records remedies if the borrower defaults. Lenders, borrowers, and counsel use this agreement alongside underlying loan documents and, where applicable, UCC-1 financing statements or mortgage instruments to perfect security interests and set rate-related expectations for the life of the obligation.

Why documenting rates and security matters

A clear Security Rates Agreement reduces disputes by specifying rate calculations, default triggers, and collateral. It supports enforceability, auditability, and consistent accounting treatment across the transaction lifecycle.

Why documenting rates and security matters

Typical parties who prepare or sign this agreement

The Security Rates Agreement is commonly completed by teams responsible for credit, legal, and contract management at lending or commercial organizations.

  • Lenders and credit officers who establish interest schedules and monitoring protocols for secured loans.
  • Borrowers and corporate treasuries that must accept, review, and track rate and collateral terms.
  • Outside counsel and compliance teams who verify legal language, state-law filing requirements, and regulatory alignment.

Essential sections to include in a professional Security Rates Agreement

A complete agreement groups rate mechanics, security description, default remedies, calculation rules, and administrative provisions so each party can clearly understand obligations and enforcement steps.

Rate Schedule

Itemize base rate, spread, caps, floors, and index references (e.g., SOFR). Specify rounding rules, compounding frequency, and whether rates are fixed, floating, or adjustable during defined review periods.

Collateral Description

Provide a precise description of secured assets (by serial number, account, or collateral class). Reference UCC collateral categories and attach schedules or exhibits that identify excluded assets or after-acquired property.

Default & Remedies

Define events of default, cure periods, acceleration mechanics, post-default interest rates, and remedies such as repossession, foreclosure, or setoff consistent with governing law.

Calculation Methodology

Explain how interest is computed (actual/360, actual/365), payment timing, late fee formulas, and methods for correcting computational errors to avoid disputes.

Perfection & Filing

State which party is responsible for filings (UCC-1, mortgage recording), timing for perfection, and allocation of filing costs; include instructions for priority disputes and subordination if applicable.

Administrative Terms

Include notice procedures, governing law, amendment process, assignment restrictions, indemnities, and signature blocks with authority representation for each party.

Common pitfalls to avoid when preparing this agreement

  • Using informal or abbreviated party names that do not match state filings, causing perfection or enforcement problems.
  • Failing to specify calculation rules (day-count, compounding), which creates disputes over interest amounts.
  • Neglecting to attach collateral schedules or serial numbers, leaving secured assets ambiguously described.
  • Assuming e-signatures are valid without confirming notarization or recording requirements for mortgage or deed instruments.

Consequences of errors or omissions

Loss of priority: Unperfected lien
Unenforceability: Remedies limited
Calculation disputes: Payment shortfalls
Regulatory exposure: Consumer finance penalties
Filing fines: State fees and penalties
Reputational harm: Contractual disputes
