SECURITY SERVICE AGREEMENT

RECITALS

WHEREAS, Client requires professional security services for the protection of persons, property, assets and operations described herein; and

WHEREAS, Security Provider is duly qualified, trained and licensed under applicable law to provide security services and agrees to furnish such services to Client on the terms and conditions set forth in this Agreement; and

WHEREAS, the parties desire to set forth their respective rights and obligations with respect to the provision of security services by Security Provider to Client.

SCOPE OF SERVICES

Security Provider shall perform the security services described below and shall furnish all labor, supervision, equipment and materials necessary to perform those services in a professional manner consistent with industry standards.

PAYMENT TERMS

Invoices shall be submitted by Security Provider in accordance with the payment schedule above. Client shall pay undisputed invoices within days of receipt.

Late Payment: Any amount not paid when due shall accrue interest at the rate of per month (or the maximum lawful rate, if lower), plus reasonable collection costs incurred by Security Provider.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall continue in effect until unless earlier terminated as provided herein.

Termination for Convenience: Either party may terminate this Agreement without cause upon days' prior written notice to the other party.

Termination for Cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure such breach within days after receipt of written notice of the breach.

CONFIDENTIALITY

Each party (the "Receiving Party") shall keep confidential all non-public information disclosed by the other party (the "Disclosing Party") that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure ("Confidential Information"), and shall not use or disclose such Confidential Information except as necessary to perform its obligations under this Agreement or as required by law. Confidential Information does not include information that (i) is or becomes generally available to the public other than by breach of this Agreement; (ii) was known to the Receiving Party prior to disclosure without obligation of confidentiality; or (iii) is rightfully obtained from a third party without restriction.

INSURANCE; LIABILITY; BACKGROUND SCREENING

Security Provider shall maintain insurance coverage customary for the security industry, including general liability and workers' compensation, in amounts sufficient to protect Client and Security Provider from claims arising from performance of services. Security Provider shall furnish certificates of insurance upon request. Security Provider shall ensure that personnel assigned to Client sites have completed appropriate background checks and training required by law or by Client in writing.

Except to the extent caused by Security Provider's gross negligence or willful misconduct, Security Provider's liability for damages arising out of or related to this Agreement shall be limited to direct damages not to exceed the total fees paid by Client to Security Provider under this Agreement during the twelve (12) month period immediately preceding the event giving rise to the claim.

INDEPENDENT CONTRACTOR

Security Provider is an independent contractor and is solely responsible for payment of wages, taxes and benefits to its personnel. Nothing in this Agreement shall be construed to create an employer-employee, partnership, joint venture or agency relationship between the parties.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the state of without regard to its conflicts of law principles. Venue for any dispute shall be in the state or federal courts located in the county where Client's principal place of business is located.

ENTIRE AGREEMENT; AMENDMENT

This Agreement, including any attachments or exhibits signed by the parties, constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings and communications, whether written or oral. This Agreement may be amended only in a writing signed by authorized representatives of both parties.

MISCELLANEOUS PROVISIONS

Notices required under this Agreement shall be in writing and shall be delivered to the contact persons and addresses provided by each party. If any provision of this Agreement is held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Neither party may assign this Agreement without the prior written consent of the other party, which consent shall not be unreasonably withheld.
