SECURITY SERVICES AGREEMENT

Parties

Recitals

WHEREAS, Client operates or manages certain premises and events requiring professional security, loss prevention, and access control services; and

WHEREAS, Provider is duly licensed and trained to provide security services, including but not limited to uniformed security officers, mobile patrol, access control, incident reporting, and related support; and

WHEREAS, Client desires to retain Provider, and Provider agrees to perform such services under the terms and conditions set forth in this Agreement.

Scope of Work

Provider shall furnish security services as described below. Provider will supply properly trained personnel, supervise assignments, maintain logs, and furnish incident reports in accordance with industry standards and applicable law.

Payment Terms

Client shall pay Provider compensation for services rendered in the amounts and on the schedules set forth below. All amounts are payable in lawful currency.

Unless otherwise agreed in writing, invoices not paid within the agreed period are subject to the Late Payment Fee and collection costs, including reasonable attorney fees. Provider may suspend services for nonpayment after providing Client written notice and a minimum of days' notice.

Term and Termination

This Agreement commences on and, unless earlier terminated, continues until .

Either party may terminate this Agreement for convenience upon days' prior written notice to the other party. Either party may terminate for material breach if the breach is not cured within days following written notice specifying the breach. Termination shall not relieve Client of obligation to pay for services rendered and expenses incurred through the effective date of termination.

Confidentiality

Each party shall keep confidential and shall not disclose to any third party any Confidential Information of the other party except as necessary to perform obligations under this Agreement or as required by law. "Confidential Information" includes nonpublic business information, security plans, response protocols, incident reports, and resident or employee personal data. Confidential Information does not include information that is legally required to be disclosed, already known to the receiving party without restriction, or becomes public through no fault of the receiving party.

Upon termination, each party will return or destroy the other party's Confidential Information and certify such return or destruction upon request.

Insurance and Compliance

Provider shall maintain at its expense all insurance required by law and industry standards, including commercial general liability, workers' compensation, and automobile liability where applicable, in amounts sufficient to cover Provider's obligations under this Agreement. Provider shall comply with all applicable laws, licensing, and training requirements for security services.

Indemnification

Provider shall indemnify, defend and hold harmless Client and its officers, directors, agents and employees from and against any claims, liabilities, losses, damages and expenses (including reasonable attorneys' fees) arising out of Provider's negligent acts, omissions or willful misconduct in connection with the performance of security services. Client shall indemnify Provider for claims arising from Client's negligence or willful misconduct.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state indicated below. The parties submit to the exclusive jurisdiction of the courts of that state for disputes arising under this Agreement.

Entire Agreement

This Agreement, including any attachments and schedules executed by the parties, constitutes the entire agreement between the parties regarding its subject matter and supersedes all prior negotiations, understandings, and agreements. Any amendment must be in writing and signed by authorized representatives of both parties.

Notice

All notices under this Agreement shall be in writing and delivered to the addresses set forth above by certified mail, courier, or personal delivery, and shall be deemed given when received.

Miscellaneous

Neither party may assign this Agreement without the other party's prior written consent, except that Client may assign to an affiliate or successor in interest. If any provision is held unenforceable, the remaining provisions remain effective. Headings are for convenience only and do not affect interpretation.
