SECURITY TERRORISM FORM

This Security Terrorism Form (the Agreement) is entered into as of between Client Name: and Security Provider Name: .

WHEREAS

WHEREAS, Client requires security services and anti-terrorism risk management measures for specified facilities, personnel, or operations; and

WHEREAS, Security Provider represents that it maintains policies, procedures and personnel screening necessary to perform services in compliance with applicable anti-terrorism and sanctions laws, and agrees to implement and certify these measures under the terms set forth herein; and

WHEREAS, the parties wish to reduce the risk of terrorism-related activity through contractual commitments, incident reporting, and remedial actions as provided in this Agreement.

SCOPE OF WORK

Services shall include security assessments, access control, physical security, surveillance, background screening, training, incident response, and ongoing compliance monitoring as detailed in the Description of Services above.

SECURITY AND ANTI-TERRORISM CERTIFICATIONS

Security Provider hereby certifies, represents and warrants that:

1. It is not listed on any applicable terrorism or sanctions lists, and it will not employ any individual or subcontractor who is so listed. Certification acknowledged:

PAYMENT TERMS

Compensation: Client shall pay Security Provider the total amount of $ for the services described in this Agreement, subject to the payment schedule below.

Invoices shall be submitted to Client and are payable within days of invoice receipt. Late payments shall accrue interest at or the maximum lawful rate, whichever is less.

TERM AND TERMINATION

Term: This Agreement shall commence on and shall expire on unless earlier terminated in accordance with this section.

Either party may terminate this Agreement for convenience with days' prior written notice to the other party.

Termination for cause: Either party may terminate immediately upon written notice if the other party materially breaches this Agreement and fails to cure within 10 business days after receipt of written notice. Breaches relating to involvement in terrorism, sanctions violations, or willful failure to report incidents shall be deemed material and not susceptible to cure.

CONFIDENTIALITY

Each party shall maintain Confidential Information in strict confidence and shall not disclose such information except as necessary to perform under this Agreement or as required by law. Confidential Information includes security plans, incident reports, vulnerability assessments, and personnel screening results provided by either party.

Confidentiality obligations shall survive termination or expiration of this Agreement for .

INSURANCE, INDEMNITY AND AUDIT

Security Provider shall maintain insurance policies including general liability and terrorism risk coverage in amounts not less than $ .

Security Provider shall indemnify, defend and hold harmless Client from any claims, losses or liabilities arising out of Security Provider's breach of its anti-terrorism certifications, negligent or willful acts, or failure to comply with applicable laws.

Client reserves the right to audit Security Provider's compliance records, screening logs, and incident reports upon reasonable notice and during normal business hours.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to its conflict of law principles.

ENTIRE AGREEMENT

This Agreement, together with any attachments, schedules and purchase orders expressly incorporated herein, constitutes the entire agreement between the parties with respect to the subject matter and supersedes all prior negotiations, representations or agreements, whether written or oral. No amendment shall be binding unless in writing and signed by authorized representatives of both parties.

CERTIFICATIONS AND REMEDIES

In the event Security Provider is determined to be involved in terrorism-related activities, subject to final determination by a competent authority, Client may suspend services, withhold payment, and terminate this Agreement immediately. Security Provider acknowledges that remedies at law may be inadequate and that Client may seek equitable relief, including injunctive relief, in addition to damages.
