SECURITY WIRELESS ALARM SYSTEM AGREEMENT

WHEREAS

WHEREAS Provider is duly engaged in the business of supplying, installing, and maintaining wireless security alarm systems and related monitoring services; and

WHEREAS Client desires to obtain from Provider a wireless alarm system and associated monitoring and maintenance services at Client's premises described above, subject to the terms and conditions set forth herein.

SCOPE OF WORK

Provider will supply, install and commission a wireless alarm system at the Client premises, inclusive of equipment, programming, on-site testing and training as described below. Provider shall perform services in a professional manner in accordance with recognized industry practices.

Late payment: Any invoice not paid within days of the invoice due date shall accrue a late fee equal to the lesser of 1.5% per month or the maximum amount permitted by law. Client shall also be responsible for reasonable collection costs and attorney's fees incurred by Provider in enforcing payment.

TERM AND TERMINATION

Either party may terminate this Agreement for convenience upon days' prior written notice. Provider may suspend monitoring and services immediately upon Client's failure to pay any undisputed amounts when due, and Provider may terminate for material breach if such breach is not cured within days after written notice.

CONFIDENTIALITY

Each party shall treat as confidential all non-public business, technical and customer information disclosed by the other party in connection with this Agreement. Confidential information shall not include information that is or becomes publicly known through no breach of this Agreement, or is rightfully received from a third party without restriction. The receiving party shall not disclose confidential information to any third party except to its employees, contractors or agents with a need to know, provided they are bound by confidentiality obligations at least as protective as those in this Agreement.

LIMITATION OF LIABILITY

Except for liability arising from gross negligence or willful misconduct, each party's aggregate liability for any claim arising out of or relating to this Agreement shall not exceed the fees paid by Client to Provider under this Agreement in the twelve (12) months preceding the event giving rise to the claim. In no event shall either party be liable for consequential, incidental, special or punitive damages.

MAINTENANCE, REPAIRS AND ACCESS

Provider will provide maintenance and repair services as set forth in the Scope of Work. Client shall provide Provider reasonable access to the premises for installation, inspection, testing, maintenance and repair and agrees to maintain power and cellular/wireless connectivity required for system operation. Provider shall use commercially reasonable efforts to respond to service requests within a commercially reasonable time frame.

GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of law principles.

ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification must be in writing and signed by both parties.

MISCELLANEOUS

Assignment: Neither party may assign this Agreement without the prior written consent of the other party, except that Provider may assign to an affiliate or in connection with a sale of Provider's business. Force Majeure: Neither party shall be liable for delays or failures to perform resulting from causes beyond its reasonable control.
