What a Self-Directed IRA Agreement Is and When It’s Used

A Self-Directed IRA Agreement is the legal document between an individual account owner and a custodian or trustee that authorizes the custodian to hold and administer retirement assets chosen by the investor. Unlike standard IRAs limited to stocks and mutual funds, a self-directed IRA permits alternative investments such as real estate, private equity, promissory notes, and certain precious metals when permitted by the custodian. The agreement documents investment instructions, custody terms, fee schedules, distribution rules, prohibited-transaction warnings, and signature blocks for the owner and an authorized custodian representative. Accurate completion is required for custodian acceptance and tax reporting.

Why the Agreement Matters for Control, Compliance, and Recordkeeping

The Self-Directed IRA Agreement establishes roles, documents permitted assets and restrictions, and creates the record the custodian needs to accept, hold, and report investments—protecting tax-advantaged status when completed correctly.

Why the Agreement Matters for Control, Compliance, and Recordkeeping

Who Typically Prepares and Signs This Agreement

Professionals and individuals complete this form to move or manage alternative retirement assets while preserving tax-advantaged status.

  • Individual investors who want control of non-traditional IRA investments such as real estate or private placements.
  • Custodians and trustees that provide self-directed IRA custody and need investment direction and signature authorization.
  • Financial advisors, attorneys, and tax professionals preparing or reviewing agreements on behalf of clients.

Prepare the agreement with the custodian’s required wording and signatures to avoid onboarding delays or reporting issues.

Representative Signers and Their Roles

Brian Fitzgibbons, COO

A company operations officer managing investor documentation for alternative asset deals. Uses the agreement to ensure custodial acceptance and to align fee and distribution terms with investor instructions; coordinates notary or witness steps when the custodian requires authentication.

Kodi-Marie Evans, Director

A NetSuite operations director handling high-volume account setups. Focuses on standardized agreement fields, consistent party names, and digital workflows so custodial systems can ingest records and trigger tax reporting without manual re-entry.

Core Elements to Expect in a Professional Agreement

A thorough Self-Directed IRA Agreement contains clear provisions that document authority, asset types, custody mechanics, fees, tax reporting responsibilities, and signature authorities required by the custodian and by law.

Investment Authorization

Specifies the types of alternative assets the account owner may direct and any custodian exclusions; should include clear investment submission procedures and documentation requirements to avoid acceptance delays.

Custodian Duties

Defines the custodian’s recordkeeping, safekeeping, valuation, and tax-reporting obligations; confirms whether the custodian performs due diligence on assets or relies solely on owner direction.

Fees and Charges

Lists account setup, transaction, asset maintenance, custody, and liquidation fees; transparent fee schedules reduce later disputes and support accurate cost-benefit analysis.

Distribution and Rollover Rules

Describes timing, tax-withholding options if any, rollover procedures, and distribution authorizations that must comply with IRS rules to preserve tax-advantaged status.

Prohibited Transactions

Identifies related-party and disallowed transactions under IRC rules and warns of tax consequences for self-dealing or impermissible investments.

Signature and Authentication

Specifies required signer roles (owner, beneficiary, custodian rep), whether notarization or witnesses are required, and acceptable e-signature methods for custodian acceptance.

Practical Tips to Reduce Errors and Custodial Rejections

Adopt standardized completion procedures to cut processing time and reduce risk of rejected or delayed account acceptance.

Confirm Custodian Language
Use the custodian’s required agreement template and required wording; deviations often trigger additional review and delays.
Verify Names and IDs
Match owner legal name exactly to government ID and tax records; mismatches can prevent onboarding and cause backup withholding.
Describe Investments Precisely
Provide exact property descriptions, contract dates, or security identifiers; vague entries cause custodial rejections.
Use Appropriate Authentication
Follow custodian requirements for notarization, witnesses, or e-sign authentication to ensure the document is accepted as valid.

Common Preparation Pitfalls to Avoid

  • Using informal or abbreviated names causes identity mismatches and delays in custodian processing and tax reporting.
  • Vague investment descriptions lead custodians to reject the asset or demand supplemental documents, prolonging settlement.
  • Failing to obtain required notarization or witnesses can render the agreement unacceptable to the custodian.
  • Missing custodian-specific fields (fee acceptance, transfer instructions) often requires re-execution and slows account activation.

Key Risks and Penalties from Improper Execution or Transactions

Prohibited Transaction: Disqualifying taxes and penalties
Unreported Income: IRS penalties and interest
Backup Withholding: 24% withholding risk
1099 Filing Penalties: $60–$330 per form under IRC §6721
I-9 Violations: Civil fines for employers
Custodian Rejection: Delays and additional fees
