Self Employment Agreement

This Self Employment Agreement (the "Agreement") is entered into on this day of , by and between:

WHEREAS

WHEREAS, Contractor represents that Contractor is an independent businessperson engaged in providing the services set forth in this Agreement and has the experience, skill and personnel necessary to perform such services in a professional manner; and

WHEREAS, Client desires to retain Contractor to perform specified services on a self-employed basis and Contractor desires to perform such services subject to the terms and conditions set forth herein.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:

Scope of Work

Contractor shall provide the following services and deliverables to Client in a timely and professional manner consistent with industry standards:

Payment Terms

Compensation for the services described in this Agreement shall be as follows.

Invoices shall be submitted in accordance with the Payment Schedule. Unless otherwise specified, Client shall pay undisputed amounts within days of receipt of an invoice.

A late fee equal to the greater of the amount calculated by the late fee percentage per month or a flat fee of shall be assessed on overdue amounts. Client shall also reimburse Contractor for reasonable collection costs, including attorneys' fees, for amounts not paid when due.

Term and Termination

This Agreement commences on the Effective Date and shall continue until the completion of the services described in Scope of Work or until terminated as provided below.

Either party may terminate this Agreement for convenience upon written notice to the other party delivered at least days prior to the effective date of termination. Termination for cause may be immediate if a party materially breaches this Agreement and fails to cure such breach within fourteen (14) days of written notice.

Confidentiality

"Confidential Information" means non-public information disclosed by one party to the other that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information expressly includes, without limitation, proprietary business information, trade secrets, technical data, customer lists and pricing.

The recipient shall (a) not disclose Confidential Information to any third party except as permitted by this Agreement, (b) use Confidential Information solely for performance under this Agreement, and (c) take reasonable measures to protect Confidential Information from unauthorized disclosure. Confidential Information does not include information that is or becomes publicly available through no fault of the recipient, independently developed by the recipient without use of or reference to the disclosing party's Confidential Information, or rightfully received from a third party without restriction.

The obligations in this Confidentiality section shall survive termination or expiration of this Agreement for a period of years, except that trade secrets shall remain protected for so long as they otherwise qualify as trade secrets under applicable law.

Independent Contractor; Taxes; Insurance

Contractor is an independent contractor and not an employee, agent, joint venturer or partner of Client. Contractor shall be solely responsible for all federal, state and local taxes, workers' compensation, insurance and other obligations arising from compensation paid to Contractor. Contractor shall maintain appropriate liability insurance and provide proof of insurance upon Client's reasonable request.

Intellectual Property

Unless otherwise agreed in writing, Contractor hereby assigns to Client all right, title and interest in and to any work product, deliverables and inventions conceived, developed or reduced to practice by Contractor in the course of performing services under this Agreement. Contractor shall execute such further instruments and take such further actions as reasonably requested by Client to evidence, effectuate or perfect such assignment.

Indemnification; Limitation of Liability

Each party shall indemnify and hold harmless the other party from and against third-party claims arising out of the indemnifying party's breach of this Agreement, negligence or willful misconduct. Except for liability arising from intentional misconduct or breach of confidentiality, neither party shall be liable to the other for consequential, incidental, punitive or special damages.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of without regard to conflict of laws principles. Any dispute arising out of or relating to this Agreement shall be resolved in the courts of that state or in federal court located therein.

Entire Agreement; Amendment

This Agreement, including all exhibits and attachments incorporated herein, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, proposals and communications, whether written or oral. Any amendment or modification to this Agreement must be in writing and signed by both parties.

Execution

This Agreement may be executed in counterparts and delivered by electronic transmission. Each counterpart shall be deemed an original, and taken together shall constitute one and the same instrument.
